CUSTOMER PREPARATION. If the Software or Software Products are to be installed by CSC, the Customer shall have all things in readiness for installation, including, but not limited to, other equipment, connections and facilities for installation at the time the Software or Software Products are delivered. Unless otherwise agreed to in writing, CSC will provide to Customer in writing at least sixty (60) calendar days in advance of the scheduled date for Software installation a list detailing all other equipment, connections and facilities which CSC requires for installation. In the event the Customer shall fail to have all things in readiness for installation on the scheduled installation date, the Customer shall reimburse CSC for any and all reasonable expenses caused by Customer's failure to have things in readiness, unless Customer has notified CSC at least five (5) Business Days prior to the scheduled installation date. Customer agrees to provide and bear the cost of a dedicated communications line of sufficient capacity between Customer's Site(s) and CSC's Champaign, Illinois offices, including all equipment costs directly related to or reasonably required by CSC for the purposes of remote access and support by the CSC consultant or phone support group. CSC shall conform in all respects to Customer's written procedures for remote access to Customer's computer hardware, which Customer shall provide to CSC prior to any attempt by CSC to remotely access Customer's computer hardware for support purposes. Customer's procedures for remote access by CSC may be amended from time to time, and CSC must be provided with written notification of any changes in Customer's remote access procedures at least two (2) Business Days before any amended procedures are made effective.

Controlled Affiliate recognizes the importance of a comprehensive national network of independent BCBSA licensees which are committed to strengthening the Licensed Marks and Name. The Controlled Affiliate further recognizes that its actions within its Service Area may affect the value of the Licensed Marks and Name nationwide.

  • Billing Services Manager shall provide, or cause to be provided, the following billing services to P.C.:

  • Omitted Services The Parties each have used commercially reasonable efforts to identify and describe the Scheduled Services. However, the Parties acknowledge and agree that there may be services which are not identified on Schedule 1 or Schedule 2, as applicable, that (A) in the case of the CLNC Services, were provided by a Service Provider to a Service Recipient or its subsidiaries during the Look-Back Period, (B) had been performed by the employees now employed by a Service Provider or its Affiliates or provided pursuant to contracts to which a Service Provider or its Affiliates is now a party or assets now owned by Service Provider or its Affiliates, and (C) are necessary to operate the business of the Service Recipient (as such business is currently conducted) after the Closing Date (collectively, the “Omitted Services”). At any time during the sixty (60) day period immediately following the Effective Date, a Service Recipient may provide written notice to its Service Provider requesting such Omitted Services setting forth in reasonable detail a description of the requested Omitted Service(s), the proposed start date or dates and the proposed termination date or dates. The Parties agree to cooperate and negotiate in good faith using reasonable efforts in order to come to an agreement regarding the provision of Omitted Services on reasonable terms and conditions that are mutually agreed to by the Parties; provided however, that if the Parties cannot agree on the termination date or dates of the Omitted Service(s), such service(s) shall be provided for a ninety (90)-day term. Any Omitted Services shall be subject in all respects to the terms of this Agreement, shall be considered added to Schedule 1 or Schedule 2, as applicable, shall constitute an agreed amendment to this Agreement and shall thereafter be considered a Scheduled Service.

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include:

  • ANALYSIS AND MONITORING The Custodian shall (a) provide the Fund (or its duly-authorized investment manager or investment adviser) with an analysis of the custody risks associated with maintaining assets with the Eligible Securities Depositories set forth on Schedule B hereto in accordance with section (a)(1)(i)(A) of Rule 17f-7, and (b) monitor such risks on a continuing basis, and promptly notify the Fund (or its duly-authorized investment manager or investment adviser) of any material change in such risks, in accordance with section (a)(1)(i)(B) of Rule 17f-7.

In the event the Dispute is not resolved within 15 days by the initial representatives to whom the matter is referred, the Dispute will be escalated for resolution to the CFO of each party. If the parties agree, they may also attempt to resolve the Dispute through mediation administered by a mutually agreed upon mediator.
