Customer’s Facility. Technical Specifications The Customer undertakes to construct the Customer’s Facility and the Customer’s Facility Connection Equipment in compliance with the NamPower Technical Specifications and Requirements, the Grid Code and any other technical requirements set out in Annexure I and F, attached hereto. The Customer undertakes to comply with the NamPower Technical Specifications and Requirements and the Grid Code to the extent that same is applicable to the Customer and the Customer’s Facility and the Customer’s Facility Connection Equipment and acknowledges that for the purposes of Clause 17 (Breach of this Agreement and the Grid Code) a material breach of the NamPower Technical Specifications and Requirements and/or the Grid Code shall be deemed to be a breach of this Agreement.
Customer’s Facility. Customer shall commission and operate the Customer’s Facility.
Customer’s Facility. 10.1 Technical Specifications The Customer undertakes to construct the Customer‟s Facility and the Customer‟s Facility Connection Equipment in compliance with the Grid Code and ESCOM TL Technical Specifications and Requirements and any other technical requirements set out in Annexure I and F, attached hereto. The Customer undertakes to comply with the ESCOM TL Technical Specifications and Requirements and the Grid Code to the extent that same is applicable to the Customer and the Customer‟s Facility and the Customer‟s Facility Connection Equipment and acknowledges that for the purposes of Clause 0 (Breach of this Agreement and the Grid Code) a material breach of the ESCOM TL Technical Specifications and Requirements and/or the Grid Code shall be deemed to be a breach of this Agreement.

  • Customers; Suppliers Executive does not have, and at any time during the term of this Agreement shall not have, any employment with or any direct or indirect interest in (as owner, partner, shareholder, employee, director, officer, agent, consultant or otherwise) any customer of or supplier to Company.

  • Customers The names of your customers will remain your sole property and will not be used by us except for servicing or informational mailings and other correspondence in the normal course of business.

  • Supplier A manufacturer, fabricator, distributor, supplier, or vendor of goods or equipment in connection with the Work, or any other party having a Contract or Purchase Order with the Contractor or with a Subcontractor to furnish materials or equipment to be incorporated in the Work by the Contractor or a Subcontractor.

  • Customers and Suppliers (a) Section 3.15(a) of the Disclosure Schedules sets forth (i) each customer who has paid aggregate consideration to the Company for goods or services rendered in an amount greater than or equal to $25,000 for each of the two most recent fiscal years (collectively, the “Material Customers”); and (ii) the amount of consideration paid by each Material Customer during such periods. The Company has not received any notice, and has no reason to believe, that any of its Material Customers has ceased, or intends to cease after the Closing, to use its goods or services or to otherwise terminate or materially reduce its relationship with the Company.

  • Major Customers and Suppliers 3.18.(a) Major Customers. Schedule 3.18.(a) contains a list of the twenty (20) largest customers of Company for each of the two (2) most recent fiscal years (determined on the basis of the total dollar amount of net sales) showing the total dollar amount of net sales to each such customer during each such year. Neither Company nor any Shareholder has any knowledge or information of any facts indicating, nor any other reason to believe, that any of the customers listed on Schedule 3.18.(a) will not continue to be customers of the business of Company after the Closing at substantially the same level of purchases as heretofore.

  • Significant Customers and Suppliers No customer or supplier which was significant to the Company during the period covered by the Financial Statements or which has been significant to the Company thereafter, has terminated or breached, materially reduced or threatened to terminate, breach or materially reduce its purchases from or provision of products or services to the Company, as the case may be.
