Specifications and Requirements definition

Specifications and Requirements means all definitions, descriptions, requirements, criteria, warranties and performance standards relating to the Products or Services which are set forth or referenced in: (i) the main body of this Contract; (ii) Exhibits to this Contract; (iii) the Documentation; and (iv) any functional and/or technical specifications which are published or provided by the Company or its licensors or suppliers from time to time with respect to all or any part of the Products or the Services. Any conflict between the provisions referenced in subparts (i), (ii), (iii), or (iv) of this definition shall be resolved in the order of priority in which they are listed; provided, however, that the Lead Public Agency or a Participating Public Agency may, at its option, disregard the order of listing to resolve any such conflicts in a manner that takes advantage of new or enhanced functionality or features.

Examples of Specifications and Requirements in a sentence

  • The Supplier or Service Provider shall, for the duration of this Agreement, provide the Services as detailed in the Specifications and Requirements.
