Decisions, Agreements, Approvals and Consents. Each Hong Kong Underwriter acknowledges that each of the Relevant Agreements provides for or contemplates certain decisions, agreements, approvals and consents to be given or made on behalf of the Hong Kong Underwriters by, and certain rights, discretions and powers to be granted to or exercisable on behalf of the Hong Kong Underwriters by, the Global Coordinator, including but not limited to: (1) exercising the right to extend the deadline for fulfilment of, or to waive all or part of, any of the conditions to which the Hong Kong Underwriting Agreement is subject; (2) terminating the Hong Kong Underwriting Agreement; (3) accepting or rejecting (in whole or in part) any applications for Hong Kong Offer Shares; and (4) agreeing the Offer Price and executing the Price Determination Agreement with the Company.
