The Offer Price. (a) The offer price per InCentive Share to be offered by Xxxxx & Nephew in the Public Tender Offer (the "Offer Price") shall be: ----------- a + b ----- c ----------- where:
The Offer Price. The price offered under the Public Tender Offer will be determined in accordance with section 2.3 of the InCentive Prospectus (as amended), provided that the adjusted net asset value of InCentive as of the last day of the Offer Period of CHF 115,490,610, as it has been determined by InCentive and confirmed by PricewaterhouseCoopers in the Report, (the "ADJUSTED NAV") shall be final and binding upon the Parties for all purposes.
The Offer Price so determined shall subject to realization of the Funds in the Bank Account from the investor, apply to purchase requests complete in all respects made and received by the authorized personnel of the Authorized Transaction Location (ATL) or Management Company within the following cut off timings:─ Day Time Monday to Friday 0.9.00 a.m. to 5.00 p.m.
The Offer Price so determined shall apply to purchase requests, complete in all respects made in Pakistan, received by the Distributor during the cut off timing (as announced by the Management Company from time to time) on any Business Day. Provided that if a Business Day is not a Subscription Day the Offer Price calculated on the next Subscription Day shall apply to the purchase request. The Management Company will make arrangements, from time to time, for receiving purchase request from outside Pakistan and will disclose these arrangements through its website and its Distributors and agents outside Pakistan. In general, the Offer Price applicable to purchase requests received from outside Pakistan will be the Offer Price applicable on the date the Trustee receives the payments from international investors provided it is a Subscription Day otherwise the Offer Price of the next Subscription Day will apply.
The Offer Price. The Offer Price of HK$0.19 represents a discount of approximately 85.9% to the theoretical quoted price of HK$1.35 per New Share (the quoted price of HK$0.027 per Share has been adjusted to reflect the effect of the Capital Reorganisation) on 17 March 2017, being the Last Trading Day. The Offer Price was determined by the Company, after taking into account (i) the financial performance and financial position of the Group; and (ii) the fact that trading in the Shares on GEM has been suspended since 20 March 2017.
The Offer Price. The dollar amount set forth in Paragraph (B) of the Preamble of the Original Agreement as the defined “Offer Price” is hereby amended to be $11.00.
The Offer Price. The Offer shall be made to the Sterlite Gold Shareholders for cash consideration of $0.3845 per Sterlite Gold Share (the “Offer Price”).
The Offer Price. If this Agreement shall be terminated for any reason (other than as set forth in clauses (i), (ii) or (iii) of this Section 7.7(b) for pursuant to Section 9.1(e)), including a termination pursuant to which no Termination Fee is paid pursuant to this Section 7.7(b), then the Company shall pay all Expenses to Parent in immediately funds on the date of such termination, and if, prior to the one year anniversary of such termination, either an Alternative Transaction shall be consummated or the Company shall enter into an Acquisition Agreement providing for an Alternative Transaction, then the Company shall pay to Parent in immediately available funds the Termination Fee, such payment to be made on the earlier of the date of consummation of such Alternative Transaction or the one year anniversary of the date of the termination of this Agreement. The Offer Price. The Company shall give Buyer (i) prompt notice of any demands for appraisal of Shares received by the Company and (ii) the opportunity to participate in and direct all negotiations and proceedings with respect to any such demands. The Company shall not, without the prior written consent of Buyer, make any payment with respect to, or settle, offer to settle or otherwise negotiate, any such demands.
The Offer Price determined by the Management Company shall be made available to the public at the official website and branches of the Management Company and at the discretion of the Management Company may also be published in any number of daily newspapers widely circulated in Pakistan.
