Deed of Accession. The Board must not issue Shares to any person who is not a party to the Shareholders' Agreement unless such person signs and delivers to the Company a Deed of Accession.
Deed of Accession. It is a condition precedent to the issue of any Shares by the Company to any person who is not a Party that such person signs and delivers to the Company a Deed of Accession.
Deed of Accession. A Transfer of Shares to a person who is not a Shareholder is void and of no effect unless and until the proposed transferee has signed, and delivered to the Company, a Deed of Accession.
Deed of Accession. (a) A Shareholder who proposes to Transfer any Securities to anyone other than another Shareholder must ensure that the transferee enters into a Deed of Accession before the Transfer takes place.
(b) Before issuing Securities to anyone other than another Shareholder the Company must ensure that the person to whom the Securities are to be issued enters into a Deed of Accession.
Deed of Accession. No person other than a Shareholder shall acquire Shares (whether by transfer or allotment) without the prior written consent of the other Shareholder and unless and until that person enters into a Deed of Accession.
Deed of Accession. Deed to be executed by a UPU-designated postal operator wishing to accede to the Agreement. Has the meaning attributed to it in Article 3 and Annex 3.
Deed of Accession. The Company must not allot or issue or register a transfer of any Shares to any person who is not a party to this agreement until that person has executed and delivered to the Company a Deed of Accession. Any allotment, issue or transfer is void and of no effect unless and until the relevant Deed of Accession has been delivered.
Deed of Accession. Any person who executes and delivers a Deed of Accession in the form set forth in Exhibit A hereto after the date hereof shall be deemed to be a party to this Deed from the date of the delivery and shall be subject to the obligations of a Company Shareholder under this Deed, whereupon Schedule I and Schedule II (if applicable) to this Deed shall be deemed to have been updated with the information of such Person as set forth in the Deed of Accession.
Deed of Accession. When there is proposed to be a transfer of Shares or an issue of New Shares with an effect that there is a new Shareholder, the new Shareholder must enter into a Deed of Accession in the form attached as Exhibit A, by which it agrees to be bound by the terms of this Agreement, upon registration of such transfer or issue of such New Shares.
