Common use of Deemed receipt Clause in Contracts

Deemed receipt. any communication from any party to any other under this Agreement shall be effective, (if by fax) when the relevant delivery receipt is received by the sender, (if in writing) when delivered and (if by e-mail) when the relevant recipient has specifically acknowledged receipt of such e-mail, other than by means of a generalised automated response provided that any communication which is received (or deemed to take effect in accordance with the foregoing) outside business hours or on a non-business day in the place of receipt shall be deemed to take effect at the opening of business on the next following business day in such place. Any communication delivered to any party under this Agreement which is to be sent by fax or e-mail will be written legal evidence.
