Delays Caused by Customer. Motorola’s performance of the Products and Services will be excused for delays caused by Customer or its Authorized Users or subcontractors, or by failure of any assumptions set forth in this Agreement (including in any Addendum or Ordering Document). In the event of a delay under this Section 11.2 – Delays Caused by Customer, (a) Customer will continue to pay the Fees as required hereunder, (b) the Parties will agree (in writing) upon a reasonable extension to any applicable performance schedule, and (c) Customer will compensate Motorola for its out-of-pocket costs incurred due to the delay (including those incurred by Motorola’s affiliates, vendors, and subcontractors).

Delays Caused by Customer. If Revinate' performance of its obligations under this Agreement is prevented or delayed by any act or omission of Customer or Customer’s agents, subcontractors, consultants or employees, Revinate shall not be deemed in breach of its obligations under this Agreement or otherwise liable for any costs, charges or losses sustained or incurred by Customer, in each case, to the extent arising directly or indirectly from such prevention or delay.

Delays Caused by Customer. If e-Track’s performance of its obligations under this Agreement is hindered, prevented, or delayed by any act or omission of the Customer, the Customer’s agents, sub-contractors, or employees, the Customer will be liable to pay to e-Track, on demand all reasonable costs, charges, or losses sustained or incurred by it (including loss of opportunity to use e- Track resources elsewhere), subject to e-Track confirming such costs, charges, and losses to the Customer in writing. If e-Track can demonstrate that the delay has resulted in an increase in cost to e-Track of carrying out its obligations under this Agreement, e- Track may increase any applicable Fees by an amount not exceeding any such demonstrable cost.‌

  • TERMINATION BY MPS - BREACH BY CONTRACTOR If Contractor fails to fulfill its obligations under this Contract in a timely or proper manner, or violates any of its provisions, MPS shall thereupon have the right to terminate it by giving five (5) days written notice before the effective date of termination of the Contract, specifying the alleged violations, and effective date of termination. The Contract shall not be terminated if, upon receipt of the notice, Contractor promptly cures the alleged violation with five (5) days. In the event of termination, MPS will only be liable for services rendered through the date of termination and not for the uncompleted portion, or for any materials or services purchased or paid for by Contractor for use in completing the Contract.
