Delegation of Management Authority. In accordance with the delegation of authority pursuant to the by-laws of the Corporation, and subject to the authority of the Board, the President & CEO shall have responsibility for the day-to-day general management and direction of the business and affairs of the Corporation. Board members are expected to understand and respect those responsibilities that have been delegated to Management.
