Deliveries by District. No later than 1:00 p.m. on the business day preceding the Closing Date, District shall deliver to Escrow Holder:
(a) a grant deed in the form of Exhibit "B-1" attached to this Agreement (the "Grant Deed") conveying to Xxxxxx Homes District's fee simple title to the District Property, duly executed and acknowledged by District;
(b) a Public Agency Certificate of Acceptance for the Exchange Property Grant Deed in the form attached hereto as Exhibit "C";
(c) a certificate of non-foreign status in the form attached hereto as Exhibit "D" and California Franchise Tax Board Form 590-RE, each executed by District; and
(d) all other sums and documents required by Escrow Holder to carry out and close the Escrow pursuant to this Agreement, including the Escrow fees and District's portion of prorations, if any.
Deliveries by District. On or before 12:00 noon Pacific Time on the business day preceding the scheduled Closing Date, DISTRICT shall deliver to Escrow Holder: (i) the Grant Deed in the form attached hereto as Exhibit “C” (“Grant Deed”), executed and acknowledged by DISTRICT and an original of the Closing Statement described in Section 3.5, executed by DISTRICT, and (ii) all other documents reasonably required by Escrow Holder to carry out and close the Escrow pursuant to this Agreement.
Deliveries by District. At or before the Closing, District shall deliver to AH Mendocino the following (duly executed where appropriate):
Deliveries by District. No later than 1:00 p.m. on the calendar day preceding the Closing Date, DISTRICT shall deliver to CITY:
(a) a sum equal to the Purchase Price;
(b) a Public Agency Certificate of Acceptance in the form attached hereto as Exhibit “C”;
(c) all other documents required to carry out the transfer of title for the Property pursuant to the terms of this Agreement.
