Delivery of the Goods by Instalments. Unless expressly agreed to the contrary, the Customer shall not be obliged to accept delivery of the Goods by instalments. If, however, the Customer does specify or agree to delivery by instalments, delivery of any instalment later than the date specified or agreed for its Delivery shall, without prejudice to any other rights or remedies of the Customer under this Call Off Contract and at Law, entitle the Customer to terminate the whole or any unfulfilled part of this Call Off Contract for Material Breach without further liability to the Customer. Subject to paragraph 9 of Call Off Schedule 9 (SMR and SMI), title to the Goods shall, without prejudice to any other rights or remedies of the Customer, pass to the Customer on the earlier of payment by the Customer of the Call Off Contract Charges or Delivery of the Goods into the Customer's tank. Subject to paragraph 9 of Call Off Schedule 9 (SMR and SMI), risk in the Goods shall, without prejudice to any other rights or remedies of the Customer, pass to the Customer at the time of acceptance of Delivery.

Where the Customer has opted for a Lease to Purchase arrangement, upon receipt of the final payment in respect of the Leased Goods and under the Lease to Purchase arrangement, such title to the Leased Goods as the Supplier had on the commencement date of the Lease Agreement shall transfer to the Customer. The Leased Goods shall transfer to the Customer in the condition and at the location in which it is found on the date of transfer.

  • Delivery of the Notes The Company shall deliver, or cause to be delivered, to the Representatives for the accounts of the several Underwriters certificates for the Notes at the Closing Date, against the irrevocable release of a wire transfer of immediately available funds for the amount of the purchase price therefor. The certificates for the Notes shall be in such denominations and registered in such names and denominations as the Representatives shall have requested at least two full business days prior to the Closing Date and shall be made available for inspection on the business day preceding the Closing Date at a location in New York City, as the Representatives may designate. Time shall be of the essence, and delivery at the time and place specified in this Agreement is a further condition to the obligations of the Underwriters.
