Design Workshops. (a) In order to obtain user input in the preparation of, and prior to submitting, the Design Development Submittals and the Construction Document Submittals, the Parties will hold user group design workshops (the “Design Workshops”) upon the following terms: (i) the Project Co Representative shall arrange the Design Workshops in consultation with the SJHC Representative; (ii) the Parties shall cooperate to develop a reasonable schedule for the Design Workshops respecting user availability issues inherent in a 24/7 operating health care facility including the number and availability of SJHC clinical user groups, and shall incorporate such schedule into the Works Schedule; (iii) Project Co shall circulate to the SJHC Representative an agenda for each of the Design Workshops no later than 10 Business Days prior to the relevant Design Workshop; (iv) the Design Workshops shall be held in person, except where otherwise agreed by the Parties, acting reasonably; (v) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop; (vi) SJHC and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Submittals to which Schedule 10 - Review Procedure applies, and that SJHC shall not be bound by the input provided in connection with the Design Workshops; (vii) Project Co shall submit to SJHC the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and (viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure. (b) Prior to the 50% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably: (i) finalized departmental layouts; (ii) finalized cross-functional issues related to: (A) vertical/horizontal circulation diagrams; (B) elevator configuration; (C) materials management strategy; and (D) food service delivery. (iii) finalized exterior elevations; (iv) preliminary room layouts; (v) preliminary millwork/modular systems furniture selection and locations; (vi) preliminary Equipment selection and locations; (vii) preliminary information/communication technology principles and functionality; (viii) preliminary exterior colour/material presentation; (ix) preliminary interior colour/material presentation; (x) preliminary Plant layouts and functionality; (xi) preliminary envelope design details; (xii) preliminary development of major interior design elements; and (xiii) preliminary overall systems diagrams and layouts. (c) Prior to the 100% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably: (i) physical mock-ups for SJHC user review as outlined in Schedule 10 – Review Procedure. (A) nurse station; (B) enclosed office; (C) administrative workstation; (D) inpatient 1-bed room “single” and 3 piece washroom. (ii) preliminary room and millwork/modular casework interior elevations; (iii) preliminary door/hardware/security functionality for key clinical areas and key public areas; (iv) preliminary Mechanical, Electrical, Plumbing, selection and locations (i.e., fixtures, lighting types, electrical outlets, diffusers) for key clinical areas relating to safety; (v) preliminary Equipment coordination details; (vi) updated interior and exterior materials/finishes for key clinical areas and key public areas; and (vii) updated Plant layouts and functionality. (d) Prior to the 50% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably: (i) preliminary millwork details for key clinical areas and key public areas; (ii) preliminary ceiling details; (iii) updated door/hardware/security functionality for all spaces; (iv) updated Mechanical, Electrical, Plumbing, selection and locations for all spaces; (v) updated Equipment coordination details; (vi) updated report on the review and adjustment of mock-ups; (vii) updated exterior and site relates issues; (viii) updated envelope design details; (ix) updated development of major interior design elements; and (x) updated overall systems diagrams and layouts. (e) The purpose of the Design Workshops is to facilitate the incorporation of SJHC input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - Review Procedure.

(vii) Project Co shall submit to SJHC IO the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure.
(b) Prior to the 50% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:

(viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure.
(b) Prior to the 50% and 75% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) finalized departmental layouts;
(ii) finalized cross-functional issues related to:
(A) vertical/horizontal circulation diagrams;
(B) elevator configuration;; and
(C) materials management strategy; and
(D) food service delivery.;
(iii) finalized exterior elevations, including materials, finishes and colours;
(iv) preliminary room layouts;
(v) preliminary millwork/modular systems furniture selection and locationsfurniture;
(vi) preliminary Equipment selection Equipment, including coordination and locationsother details;
(vii) preliminary information/communication technology principles and functionalitycommunications strategy;
(viii) preliminary exterior interior colour/material presentation;
(ix) preliminary interior colour/material presentation;mechanical and electrical systems, including plant layouts and functionality, and including integration of mechanical and electrical systems into Existing Facilities; and
(x) preliminary Plant layouts facilities management, lifecycle and functionality;
(xi) preliminary envelope design details;
(xii) preliminary development of major interior design elements; and
(xiii) preliminary overall systems diagrams and layoutsenergy efficiency considerations.
(c) Prior to the 100% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) all items listed in Section 11.3(b) and all items listed in Sections 1.0, 2.0 and 3.0 Appendix A of Schedule 10 – Review Procedure, as required;
(ii) physical mock-ups for SJHC the SMH Design Team and user review - rooms to be mocked-up as outlined in per Appendix A of Schedule 10 – Review Procedure.
(A) nurse station;
(Biii) enclosed office;
(C) administrative workstation;
(D) inpatient 1-bed room “single” and 3 piece washroom.
(ii) preliminary room and millwork/modular casework interior elevations;

(d) Prior to the 50% and 100% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) preliminary millwork details for key clinical areas and key public areasdetails;
(ii) preliminary ceiling details;
(iii) updated door/hardware/security functionality for all spaces;
(iv) updated Mechanical, Electrical, Plumbing, selection and locations for all spaces;
(v) updated Equipment coordination details;
(viiv) updated report on the review signage and adjustment of mock-upswayfinding;

(viii) updated envelope design details;
(ix) updated development of major interior design elementsdetailed engineering system solutions; and

(e) The purpose of the Design Workshops is to facilitate the incorporation of SJHC the SMH Design Team and user input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - Review Procedure.

(vii) Project Co shall submit to SJHC the College the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days as prescribed in Section 2.2 of Schedule 10 - Review Procedure.

(v) preliminary millwork/modular systems furniture selection millwork and locationsFF&E, including coordination and other details;
(vi) preliminary Equipment selection structural design, including plans and locationssections;
(vii) preliminary information/communication technology principles mechanical and electrical systems, including plant layouts and functionality;
(viii) preliminary exterior colour/material presentationcivil engineering design, including grading and site servicing;
(ix) preliminary interior colour/material presentation;information and communications technology integration strategy; and
(x) preliminary Plant layouts sustainable design and functionality;
(xi) preliminary envelope design details;
(xii) preliminary development of major interior design elements; and
(xiii) preliminary overall systems diagrams and layoutsLEED features, including a dedicated sustainability workshop.
(c) Prior to the 100% [REDACTED]% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) all items listed in Section 11.3(b) and all items listed in Sections 1.0, 2.0 and 3.0 Appendix A of Schedule 10 – Review Procedure, as required;
(ii) physical mock-ups for SJHC the College Design Team and user review as outlined in Schedule 10 – Review Procedure.

(d) Prior to each of the 50% [REDACTED]% and [REDACTED]% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) preliminary millwork details for key clinical areas and key public areasdetails;
(ii) preliminary ceiling details;
(iii) updated door/hardware/security functionality for all spacesoffice and classroom area layout details;
(iv) updated Mechanical, Electrical, Plumbing, selection and locations for all spaces;FF&E coordination details; and
(v) updated Equipment coordination details;
(vi) updated report on the review signage and adjustment of mock-ups;
(vii) updated exterior and site relates issues;
(viii) updated envelope design details;
(ix) updated development of major interior design elements; and
(x) updated overall systems diagrams and layoutswayfinding.
(e) The purpose of the Design Workshops is to facilitate the incorporation of SJHC the College Design Team and user input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - Review Procedure.

(iii) Project Co shall circulate to the SJHC Contracting Authority Representative an agenda for each of the Design Workshops no later than 10 Business Days prior to the relevant Design Workshop;
(iv) the Design Workshops shall be held in personperson in the City of ▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇, except where otherwise agreed by the Parties, acting reasonably;
(v) in advance of a Design Workshop, Project Co may submit to the Contracting Authority Design Team for comment any interim drafts of any designs or plans required under this Project Agreement, which submissions shall be used to inform Contracting Authority on the development of New Metrolinx Infrastructure and New Third Party Infrastructure design and provide an opportunity for dialog on compliance with the requirements of the Project Agreement. For greater certainty, interim submissions shall be informal and shall not be reviewed in accordance with Schedule 10 - Review Procedure;
(vi) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC Contracting Authority Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vivii) SJHC Contracting Authority and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Works Submittals to which Schedule 10 - Review Procedure applies, and that SJHC Contracting Authority shall not be bound by the input provided in connection with the Design Workshops;
(viiviii) Project Co shall submit to SJHC Contracting Authority the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viiiix) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed as described in Section 2.2 of Schedule 10 - Review Procedure.
(b) Prior to Following Project Co’s submission of each of the 50% Design Development SubmittalsSubmittal and the 100% Design Development Submittal, the Parties will hold a Design Workshops Workshop with respect to the following matters related to the applicable Design Development Submittal, and any other Design Workshops required by Project CoCo or Contracting Authority, acting reasonably:
(i) finalized departmental layouts;
(ii) finalized cross-functional issues related to:
(A) vertical/horizontal circulation diagrams;
(B) elevator configuration;
(C) materials management strategy; and
(D) food service delivery.
(iii) finalized exterior elevations;
(iv) preliminary room layouts;
(v) preliminary millwork/modular systems furniture selection and locations;
(vi) preliminary Equipment selection and locations;
(vii) preliminary information/communication technology principles and functionality;
(viii) preliminary exterior colour/material presentation;
(ix) preliminary interior colour/material presentation;
(x) preliminary Plant layouts and functionality;
(xi) preliminary envelope design details;
(xii) preliminary development of major interior design elements; and
(xiii) preliminary overall systems diagrams and layouts.
(c) Prior to Following Project Co’s submission of each of the 60% Construction Document Submittal, the 80% Construction Document Submittal, and the 100% Design Development Construction Document Submittals, the Parties will hold a Design Workshops Workshop with respect to the following matters related to the applicable Construction Document Submittal, and any other Design Workshops required by Project CoCo or Contracting Authority, acting reasonably:
(i) physical mock-ups for SJHC user review as outlined in Schedule 10 – Review Procedure.
(A) nurse station;
(B) enclosed office;
(C) administrative workstation;
(D) inpatient 1-bed room “single” and 3 piece washroom.
(ii) preliminary room and millwork/modular casework interior elevations;

(e) The applicable third party owners of New Third Party Infrastructure may attend Design Workshops relating to New Third Party Infrastructure.

(ii) the Parties shall cooperate to develop a reasonable schedule for the Design Workshops respecting user availability issues inherent in a 24/7 operating health care facility including the number and availability of SJHC clinical user groups, and shall incorporate such schedule into the Works Schedule;
(iii) Project Co shall circulate to the SJHC CAMH Representative an agenda for each of the Design Workshops no later than 10 Business Days prior to the relevant Design Workshop;
(iv) the Design Workshops shall be held in person, except where otherwise agreed by the Parties, acting reasonably;
(v) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC CAMH Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vi) SJHC CAMH and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Submittals to which Schedule 10 - Review Procedure applies, and that SJHC CAMH shall not be bound by the input provided in connection with the Design Workshops;
(vii) Project Co shall submit to SJHC CAMH the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure.
(b) Prior to Project Co will submit, within 1 day following Commercial Close, the 50% Design Development Submittals, the Parties will hold Submittals to CAMH for review pursuant to Schedule 10 - Review Procedure. Project Co and CAMH acknowledge and agree that: (1) Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
set out in subsections (i) finalized departmental layouts;
(ii) finalized cross-functional issues related to:
(A) vertical/horizontal circulation diagrams;
(B) elevator configuration;
(C) materials management strategy; and
(D) food service delivery.
(iii) finalized exterior elevations;
- (iv), (viii) preliminary room layouts;
and (x) below were held prior to Commercial Close; and (2) further design submittals shall be required to supplement the 50% Design Development Submittals as a result of Design Workshops to be held following Commercial Close in respect of the matters set out in subsections (v) preliminary millwork/modular systems furniture selection and locations;
(vi) preliminary Equipment selection and locations;
(vii) preliminary information/communication technology principles and functionality;
(viii) preliminary exterior colour/material presentation;
(ix) preliminary interior colour/material presentation;
(x) preliminary Plant layouts and functionality;
(xi) preliminary envelope design details;
(xii) preliminary development of major interior design elements; and
(xiii) preliminary overall systems diagrams and layouts.
(c) Prior to the 100% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) physical mock-ups for SJHC user review as outlined in Schedule 10 – Review Procedure.
(A) nurse station;
(B) enclosed office;
(C) administrative workstation;
(D) inpatient 1-bed room “single” and 3 piece washroom.
(ii) preliminary room and millwork/modular casework interior elevations;
(iii) preliminary door/hardware/security functionality for key clinical areas and key public areas;
(iv) preliminary Mechanical, Electrical, Plumbing, selection and locations (i.e., fixtures, lighting types, electrical outlets, diffusers) for key clinical areas relating to safety;
(v) preliminary Equipment coordination details;
(vi) updated interior and exterior materials/finishes for key clinical areas and key public areas; and
(vii) updated Plant layouts and functionality.
(d) Prior to the 50% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) preliminary millwork details for key clinical areas and key public areas;
(ii) preliminary ceiling details;
(iii) updated door/hardware/security functionality for all spaces;
(iv) updated Mechanical, Electrical, Plumbing, selection and locations for all spaces;
(v) updated Equipment coordination details;
(vi) updated report on the review and adjustment of mock-ups;
(vii) updated exterior and site relates issues;
(viii) updated envelope design details;
(ix) updated development of major interior design elements; and
(x) updated overall systems diagrams and layouts.
(e) The purpose of the Design Workshops is to facilitate the incorporation of SJHC input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - Review Procedure.

(v) ; in advance of a Design Workshop, Project Co may submit to the Contracting Authority Design Team for comment any interim drafts of any designs or plans required under this Project Agreement, which submissions shall be used to inform Contracting Authority on the development of New Metrolinx Infrastructure and New Third Party Infrastructure design and provide an opportunity for dialog on compliance with the requirements of the Project Agreement. For greater certainty, interim submissions shall be informal and shall not be reviewed in accordance with Schedule 10 - Review Procedure; Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC Contracting Authority Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vi) SJHC ; Contracting Authority and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Works Submittals to which Schedule 10 - Review Procedure applies, and that SJHC Contracting Authority shall not be bound by the input provided in connection with the Design Workshops;
(vii) ; Project Co shall submit to SJHC Contracting Authority the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viii) and the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed as described in Section 2.2 of Schedule 10 - Review Procedure.

(i) physical mock-ups for SJHC user review as outlined in Schedule 10 – Review Procedure.

Design Workshops. (a) In order to obtain user input in the preparation of, and prior to submitting, the Design Development Submittals and the Construction Document Submittals, the Parties will hold user group design workshops (the “"Design Workshops”") upon the following terms:
(i) the Project Co Representative shall arrange the Design Workshops in consultation with the SJHC IO Representative;
(ii) the Parties shall cooperate to develop a reasonable schedule for the Design Workshops respecting user availability issues inherent in a 24/7 operating health care facility including the number and availability of SJHC clinical user groups, and shall incorporate such schedule into the Works Schedule;
(iii) Project Co shall circulate to the SJHC IO Representative an agenda for each of the Design Workshops no later than 10 Business Days prior to the relevant Design Workshop;
(iv) the Design Workshops shall be held in person, except where otherwise agreed by the Parties, acting reasonably;
(v) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC IO Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vi) SJHC IO and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Submittals to which Schedule 10 8 - Review Procedure applies, and that SJHC IO shall not be bound by the input provided in connection with the Design Workshops;
(vii) Project Co shall submit to SJHC IO the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 8 - Review Procedure; and
(viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 8 - Review Procedure.
(b) Prior to the 50% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) finalized departmental layoutslayout;
(ii) finalized cross-functional issues related to:
(A) vertical/horizontal circulation diagrams;
(B) elevator configuration;; and
(C) materials management strategy; and
(D) food service delivery.;
(iii) finalized exterior elevations;
(iv) preliminary room layouts;
(v) preliminary millwork/modular systems furniture selection and locationsfurniture;
(vi) preliminary Equipment selection and locationsEquipment;
(vii) preliminary information/communication technology principles and functionalitytechnology;
(viii) preliminary exterior colour/material presentation;; and
(ix) preliminary interior colour/material presentation;
(x) preliminary Plant layouts and functionality;
(xi) preliminary envelope design details;
(xii) preliminary development of major interior design elements; and
(xiii) preliminary overall systems diagrams and layouts.
(c) Prior to the 100% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) physical mock-ups for SJHC IO user review as outlined in Schedule 10 – Review Procedure.
(A) nurse stationreview;
(B) enclosed office;
(C) administrative workstation;
(D) inpatient 1-bed room “single” and 3 piece washroom.
(ii) preliminary room and millwork/modular casework interior elevations;
(iii) preliminary door/hardware/security functionality for key clinical areas and key public areasfunctionality;
(iv) preliminary Mechanical, Electrical, Plumbing, selection and locations (i.e., fixtures, lighting types, electrical outlets, diffusers) for key clinical areas relating to safetyUtilities;
(v) preliminary In-Contract Equipment coordination details;coordination; and
(vi) updated interior and exterior materials/finishes for key clinical areas and key public areas; and
(vii) updated Plant layouts and functionalityfinishes.
(d) Prior to the 50% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) preliminary millwork details for key clinical areas and key public areasdetails;
(ii) preliminary ceiling details;; and
(iii) updated door/hardware/security functionality for all spaces;
(iv) updated Mechanical, Electrical, Plumbing, selection Equipment and locations for all spaces;
(v) updated Existing Equipment coordination details;
(vi) updated report on the review and adjustment of mock-ups;
(vii) updated exterior and site relates issues;
(viii) updated envelope design details;
(ix) updated development of major interior design elements; and

(c) Prior to the 100% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project CoCo or JBH, acting reasonably:
(i) all items listed in Section 11.3(b) and all items listed in Sections 1.0, 2.0 and 3.0 Appendix A of Schedule 10 – Review Procedure, as required;
(ii) physical mock-ups for SJHC the JBH Design Team and user review - rooms to be mocked-up as outlined in per Appendix A of Schedule 10 – Review Procedure.

(i) preliminary millwork details for key clinical areas and key public areasdetails;
(ii) preliminary ceiling details;
(iii) updated door/hardware/security functionality for all spaces;
(iv) updated MechanicalEquipment, Electrical, Plumbing, selection Existing Equipment and locations for all spaces;
(v) updated JBH Separate Equipment coordination details;
(iv) signage and wayfinding;
(v) detailed engineering system solutions;
(vi) updated report on the review and adjustment of mock-upsenergy efficiency considerations;
(vii) updated exterior approach to life cycle and site relates issues;warranties; and

(vvi) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC NHS Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vivii) SJHC NHS and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Submittals to which Schedule 10 - Review Procedure applies, and that SJHC NHS shall not be bound by the input provided in connection with the Design Workshops;
(viiviii) Project Co shall submit to SJHC NHS the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viiiix) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure.

(ii) preliminary room and millwork/modular casework interior elevations;
(iii) preliminary door/hardware/security functionality for key clinical areas and key public areasfunctionality;
(iv) preliminary Mechanical, Electrical, Plumbing, selection Utilities and locations (i.e., fixtures, lighting types, electrical outlets, diffusers) for key clinical areas relating to safetyproposed Plant;
(v) preliminary In-Contract Equipment coordination detailscoordination;
(vi) updated interior and exterior materials/finishes for key clinical areas and key public areasfinishes; and
(vii) updated Plant layouts and functionality.
(d) Prior to the 50% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:

(ii) preliminary ceiling details;; and
(iii) updated door/hardware/security functionality for all spaces;

Specific attention will be made to Section 1.3.1, Item 3.4 of Schedule 15 – Output Specifications, prior to the submission of the Design Development Submittals;
(iv) dedicated Design Workshops shall be held to engage and incorporate feedback from Contracting Authority’s Family Advisory Committee, staff and medical staff with respect to the requirements set out in Schedule 15 – Output Specifications related to interior design, furniture and equipment and public spaces including outdoor activity spaces. Specific attention will be made to Section 1.3.1, Item 3.5 of Schedule 15 – Output Specifications, prior to the submission of the Design Development Submittals;
(v) four dedicated Design Workshops shall be held to engage and incorporate feedback from Contracting Authority’s Indigenous Advisory Group prior to the submission of the Design Development Submittals, including two Design Workshops held prior to the [REDACTED]% Design Development Submittal and two Design Workshops held prior to the [REDACTED]% Design Development Submittal;
(vi) the Parties shall cooperate to develop a reasonable schedule for the Design Workshops respecting user availability issues inherent in a 24/7 an operating health care children’s treatment facility including and the number and availability of SJHC clinical user groupsscheduling parameters set out in Section 11.3(a)(iii), and shall incorporate such schedule into the Baseline Works Schedule;
(iiivii) each Contracting Authority clinical user group shall require a minimum 2 rounds of meetings prior to the [REDACTED]% Design Development Submittal; a minimum of 3 meetings between [REDACTED]% and [REDACTED]% Design Development Submittal, and a minimum of 2 meetings between [REDACTED]% Design Development Submittal and [REDACTED]% Construction Document Submittal. In order to validate the space fit to the Output Specifications, Project Co shall conduct at least one Design Workshop per round leading to [REDACTED]% Design Development for every clinical user group which shall incorporate user engagement means including low fidelity mock-ups for selected spaces as determined by Contracting Authority (examples include but are not limited to tape on floor, rapid prototyping with cardboard, table top exercises, VR walkthroughs,). Project Co shall incorporate the following objectives in the Design Workshops through assessment of anticipated workflow/use scenarios through assessment to:
(A) ensure spaces are designed to promote efficient and effective workflows and service delivery
(B) facilitate children, youth and family’s ability to access and participate in healthcare, and
(C) facilitate providers and staff ability to deliver services and care. Project Co shall include a minimum of 15 rooms or spaces in the low fidelity mock ups.
(viii) Project Co shall coordinate in advance the schedule for the workshops and space requirements with CHEO in order to secure required space to carry these workshops.
(A) there shall be a minimum of ten (10) Business Days between Design Workshops involving the same Contracting Authority clinical user group unless otherwise agreed to by Contracting Authority;
(B) no more than four (4) Contracting Authority clinical user groups shall meet with Project Co in any given week; clinical user groups shall be planned for the following at a minimum:
(I) Development & Rehabilitation;
(II) Autism;
(III) CHEO School & Preschool;
(IV) CAC, Seating & Mobility & Technology;
(V) Outpatient Mental Health;
(VI) CYP & Advocacy;
(VII) Staff, Medical Staff Workspaces;
(VIII) Diagnostic & Medical;
(IX) Meeting & Education;
(X) Facilities; and,
(XI) Front Entry, Community & Family Services;
(C) Intake services technical user groups shall be planned for the following at a minimum:
(I) Parking Garage Works/transportation;
(II) Site planning/landscape/utilities/services;
(III) Building envelope and sustainability;
(IV) Electrical/mechanical/ door hardware;
(V) ICAT/security/fire;
(VI) Wayfinding & Signage / accessibility; and,
(VII) Interior design;
(D) there shall be no more than one (1) meeting involving the same Contracting Authority user groups in the same week unless otherwise agreed to by Contracting Authority in its sole discretion;
(E) the above criteria are for planning purposes only. Actual user group availability shall be determined by Contracting Authority post Financial Close; and,
(F) materials used during a Design Workshop shall take into account the users understanding of the graphical symbols used and materials shall be presented in a way to support understanding by non-technical, non- designers, including images of people and mobility devices in drawings to help users (i.e., staff, medical staff, children, youth, families) envision scale and function. Drawing elements and scales shall be explained in terms easily understood by non-designers;
(ix) Project Co shall circulate to the SJHC Contracting Authority Representative an agenda for each of the Design Workshops no later than 10 Business Days prior to the relevant Design Workshop;
(ivx) in advance of a Design Workshop, Project Co may submit to Contracting Authority Design Team for comment any interim drafts of any designs or plans required under this Project Agreement, which submissions shall be used to inform Contracting Authority on the development of the Facility design and provide an opportunity for dialog on compliance with the requirements of the Project Agreement. If a Proposal Part corresponds to the interim submissions, then Project Co shall ensure that the interim submissions are substantially the same content and level of detail as the corresponding Proposal Part. For greater certainty,
(A) interim submissions shall be informal and shall not be reviewed in accordance with Schedule 10— Review Procedure; and
(B) the requirements for Project Co to submit interim submissions that are substantially the same content and level of detail as the corresponding Proposal Part, shall not,
(I) lessen, reduce or otherwise modify or amend Contracting Authority’s rights under the Project Agreement to review any Design Development Submittals in accordance with Schedule 10 – Review Procedure; or
(II) constitute acceptance by Contracting Authority of the corresponding Proposal Part or any Design Development Submittal in accordance with Schedule 10 - Review Procedure.
(xi) the Design Workshops shall be held in person, except where otherwise agreed by the Parties, acting reasonably;
(vxii) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC Contracting Authority Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vixiii) SJHC Contracting Authority and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Submittals to which Schedule 10 - Review Procedure applies, and that SJHC Contracting Authority shall not be bound by the input provided in connection with the Design Workshops;
(viixiv) Project Co shall submit to SJHC Contracting Authority the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review ProcedureProcedure and Schedule 19 – Works Scheduling Requirements; and
(viiixv) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days as prescribed in Section 2.2 of Schedule 10 - Review Procedure.
(b) Prior to the 50% [REDACTED]% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project CoCo or Contracting Authority, acting reasonably:
(i) finalized Parking Garage Works development;
(ii) Site planning;
(iii) design elements per Section 1.3.1, Item 3.4 of Schedule 15 – Output Specifications with attention to the incorporation of Contracting Authority’s Child and Youth Advisory Group feedback;
(iv) design elements per Section 1.3.1, Item 3.5 of Schedule 15 – Output Specifications with attention to the incorporation of feedback from Contracting Authority’s Family Advisory Committee, staff and medical staff;
(v) design elements per Section 1.3.1, Item 3.6 of Schedule 15 – Output Specifications with attention to incorporation of feedback from Contracting Authority’s Indigenous Advisory Group;
(vi) departmental layouts;
(iivii) finalized cross-functional issues related to:
(A) vertical/horizontal circulation diagrams;
(B) elevator configuration;; and,
(C) materials management strategy;
(viii) envelope systems including:
(A) exterior elevations, including materials, finishes and colours; and

(i) physical mock-ups for SJHC user review as outlined all items listed in Section 11.3(b) and all items listed in Schedule 10 – Review Procedure.
(A) nurse station, as required;
(B) enclosed office;
(C) administrative workstation;
(D) inpatient 1-bed room “single” and 3 piece washroom.
(ii) preliminary physical mock-ups for the Contracting Authority Design Team and user review rooms to be mocked-up as per Appendix A of Schedule 10 – Review Procedure;
(iii) room and millwork/modular casework interior elevations;
(iiiiv) preliminary door/hardware/security functionality for key clinical areas and key public areas;
(iv) preliminary Mechanicalfunctionality, Electricalincluding normal operations, Plumbingpower failures, selection and locations (i.e., fixtures, lighting types, electrical outlets, diffusers) for key clinical areas relating to safetyas well as emergency situations;
(v) preliminary Not-In-Contract Equipment coordination detailscoordination;
(vi) updated interior audio/visual systems and exterior materials/finishes for key clinical areas and key public areasintegration; and
(vii) updated Plant layouts sustainability considerations and functionalityLEED requirements.
(d) Prior to the 50% [REDACTED]% and [REDACTED]% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project CoCo or Contracting Authority, acting reasonably:
(i) preliminary millwork details for key and clinical areas and key public areasmodular casework details;
(ii) preliminary ceiling details;
(iii) updated door/hardware/security functionality for all spaces;
(iv) updated Mechanical, Electrical, Plumbing, selection Not-In-Contract Equipment and locations for all spaces;
(v) updated Existing Equipment coordination details;
(iv) information/communications and technology strategy and design;
(v) systems integration strategy and design;
(vi) updated report on the review signage and adjustment of mock-upswayfinding;
(vii) updated exterior detailed engineering solutions including emergency power, fire alarm and site relates issuessecurity system integration, fire protection and smoke evacuation;
(viii) updated envelope design detailsenergy efficiency considerations;
(ix) updated development of major interior design elementsapproach to life cycle and warranties; and
(x) updated overall systems diagrams and layoutsapproach to commissioning.
(e) The purpose of the Design Workshops is to facilitate the incorporation of SJHC the Contracting Authority Design Team and user input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - Review Procedure.

Design Workshops. (a) In order to obtain user input in the preparation of, and prior to submitting, the Design Development Submittals and the Construction Document Submittals, the Parties will hold user group design workshops (the “Design Workshops”) upon the following terms:
(i) the Project Co Representative shall arrange the Design Workshops in consultation with the SJHC HMQ Representative;
(ii) the Parties shall cooperate to develop a reasonable schedule for the Design Workshops respecting user availability issues inherent in a 24/7 operating health care facility including the number and availability of SJHC clinical user groups, and shall incorporate such schedule into the Works Schedule;
(iii) Project Co shall circulate to the SJHC HMQ Representative an agenda for each of the Design Workshops no later than 10 Business Days prior to the relevant Design Workshop;
(iv) the Design Workshops shall be held in person, except where otherwise agreed by the Parties, acting reasonably;
(v) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC HMQ Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-lay outs, plans or diagrams prepared at the Design Workshop;
(vi) SJHC HMQ and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Works Submittals to which Schedule 10 - – Review Procedure applies, and that SJHC HMQ shall not be bound by the input provided in connection with the Design Workshops;
(vii) Project Co shall submit to SJHC HMQ the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - – Review Procedure; and
(viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 2.4 of Schedule 10 - – Review Procedure.
(b) Prior to the 50% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) finalized departmental layouts;
(ii) finalized cross-functional issues related to:
(A) vertical/horizontal circulation diagrams;
(B) elevator configuration;
(C) materials management strategy; and
(D) food service delivery.
(iii) finalized exterior elevations;
(iv) preliminary room layouts;
(v) preliminary millwork/modular systems furniture selection and locations;
(vi) preliminary Equipment selection and locations;
(vii) preliminary information/communication technology principles and functionality;
(viii) preliminary exterior colour/material presentation;
(ix) preliminary interior colour/material presentation;
(x) preliminary Plant layouts and functionality;
(xi) preliminary envelope design details;
(xii) preliminary development of major interior design elements; and
(xiii) preliminary overall systems diagrams and layouts.
(c) Prior to the 100% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:

(dc) Prior to the 50% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) preliminary millwork details for key clinical areas and key public areaswall sections;
(ii) preliminary ceiling envelope details;
(iii) updated door/hardware/security functionality for all spacesmillwork details;
(iv) updated Mechanical, Electrical, Plumbing, selection and locations for all spaces;ceiling details; and

(vi) updated report on the review and adjustment of mock-ups;
(vii) updated exterior and site relates issues;
(viii) updated envelope design details;

(ed) The purpose of the Design Workshops is to facilitate the incorporation of SJHC HMQ, TO2015, City and UofT, as applicable, input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - – Review Procedure.

(iiiA) Each HRRH clinical user group shall require a minimum 2 rounds of meetings prior to the 50% Design Development Submittal; a minimum of 2 meetings between 50% and 100% Design Development Submittal, and a minimum of 1 meeting between 100% Design Development Submittal and 50% Construction Document Submittal;
(B) There shall be a minimum of ten (10) Business Days between Design Workshops involving the same HRRH clinical user group unless otherwise agreed to by HRRH.
(C) No more than 15 HRRH clinical user groups shall meet with Project Co in any given week;
(D) The above criteria are for planning purposes only; actual user group availability shall be determined by HRRH post Financial Close.
(iv) Project Co shall circulate to the SJHC HRRH Representative an agenda for each of the Design Workshops no later than 10 Business Days prior to the relevant Design Workshop;
(ivv) the Design Workshops shall be held in person, except where otherwise agreed by the Parties, acting reasonably;
(vvi) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two 2 Business Days after each Design Workshop, Project Co shall provide to the SJHC HRRH Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vivii) SJHC HRRH and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Submittals to which Schedule 10 - Review Procedure applies, and that SJHC HRRH shall not be bound by the input provided in connection with the Design Workshops;
(viiviii) Project Co shall submit to SJHC HRRH the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viiiix) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure.

(vii) Project Co shall submit to SJHC the College the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days as prescribed in Section 2.2 of Schedule 10 - Review Procedure.

(ii) preliminary ceiling details;
(iii) updated door/hardware/security functionality for all spacesoffice and classroom area layout details;
(iv) updated Mechanical, Electrical, Plumbing, selection and locations for all spaces;FF&E coordination details; and

(vi) updated report on the review signage and adjustment of mock-ups;
(vii) updated exterior and site relates issues;
(viii) updated envelope design details;
(ix) updated development of major interior design elements; and

(iv) the Design Workshops shall be held in personperson in the city of ▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇, except where otherwise agreed by the Parties, acting reasonably;
(v) in advance of a Design Workshop, Project Co may submit to the Contracting Authority Design Team for comment any interim drafts of any designs or plans required under this Project Agreement, which submissions shall be used to inform Contracting Authority on the development of New Metrolinx Infrastructure and New Third Party Infrastructure design and provide an opportunity for dialog on compliance with the requirements of the Project Agreement. For greater certainty, interim submissions shall be informal and shall not be reviewed in accordance with Schedule 10 - Review Procedure;
(vi) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two five Business Days after each Design Workshop, Project Co shall provide to the SJHC Contracting Authority Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vivii) SJHC Contracting Authority and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Works Submittals to which Schedule 10 - Review Procedure applies, and that SJHC Contracting Authority shall not be bound by the input provided in connection with the Design Workshops;
(viiviii) Project Co shall submit to SJHC Contracting Authority the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viiiix) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed as described in Section 2.2 of Schedule 10 - Review Procedure.
(b) Prior to Following Project Co’s submission of each of the 5030% Design Development SubmittalsSubmittal and the 60% Design Development Submittal, the Parties will hold a Design Workshops Workshop with respect to the following matters related to the applicable Design Development Submittal, and any other Design Workshops required by Project CoCo or Contracting Authority, acting reasonably:
(i) finalized departmental layouts;
(ii) finalized cross-functional issues related to:
(A) vertical/horizontal circulation diagrams;
(B) elevator configuration;
(C) materials management strategy; and
(D) food service delivery.
(iii) finalized exterior elevations;
(iv) preliminary room layouts;

(i) physical mock-ups for SJHC user review as outlined in Schedule 10 – Review Procedure.

(vi) SJHC MHCP and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Submittals to which Schedule 10 - Review Procedure applies, and that SJHC MHCP shall not be bound by the input provided in connection with the Design Workshops;
(vii) Project Co shall submit to SJHC MHCP the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(viii) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure.
(b) Prior to the 50% [REDACTED]% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) finalized departmental layouts;
(ii) finalized cross-functional issues related to:
(A) vertical/horizontal circulation diagrams;
(B) elevator configuration;
(C) materials management strategy; and
(D) food service delivery.
(iii) finalized exterior elevations;
(iv) preliminary room layouts;
(v) preliminary millwork/modular systems furniture selection and locations;
(vi) preliminary Equipment selection and locations;
(vii) preliminary information/communication technology principles and functionality;
(viii) preliminary exterior colour/material presentation;
(ix) preliminary interior colour/material presentation;; and
(x) preliminary Plant layouts and functionality;
(xi) preliminary envelope design details;
(xii) preliminary development of major interior design elements; and
(xiii) preliminary overall systems diagrams and layouts.
(c) Prior to the 100% [REDACTED]% Design Development Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) physical mock-ups for SJHC MHCP user review as outlined in Schedule 10 – Review Procedure.review, including, but not limited to:
(A) nurse stationPatient Bedroom, including 2 piece washroom and fully operational doors;
(B) enclosed officeSeclusion Room, including 2 piece washroom and fully operational doors;
(C) administrative workstation;Care Desk, including doors and glazing; and
(D) inpatient 1-bed room “single” Secure Window and 3 piece washroomS3 Wall assembly, including destructive testing of glass.
(ii) preliminary room and millwork/modular casework interior elevations;
(iii) preliminary door/hardware/security functionality for key clinical areas and key public areas;
(iv) preliminary Mechanical, Electrical, Plumbing, selection and locations (i.e., fixtures, lighting types, electrical outlets, diffusers) for key clinical areas relating to safety;
(v) preliminary Equipment coordination details;
(vi) updated interior and exterior materials/finishes for key clinical areas and key public areas; and
(vii) updated Plant layouts and functionality.
(d) Prior to the 50% [REDACTED]% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) preliminary millwork details for key clinical areas and key public areas;
(ii) preliminary ceiling details;
(iii) updated door/hardware/security functionality for all spaces;
(iv) updated Mechanical, Electrical, Plumbing, selection and locations for all spaces;
(v) updated Equipment coordination details;
(vi) updated report on the review and adjustment of mock-ups;; and
(vii) updated exterior and site relates issues;
(viii) updated envelope design details;
(ix) updated development of major interior design elements; and
(x) updated overall systems diagrams and layouts.
(e) The purpose of the Design Workshops is to facilitate the incorporation of SJHC MHCP input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - Review Procedure.

Design Workshops. (a) In order to obtain user input in the preparation of, and prior to submitting, the Design Development Submittals and the Construction Document Submittals, the Parties will hold user group design workshops (the “Design Workshops”) upon the following terms:
(i) the Project Co Representative shall arrange the Design Workshops in consultation with the SJHC WCH Representative;
(ii) the Parties shall cooperate to develop a reasonable schedule for the Design Workshops respecting user availability issues inherent in a an 24/7 operating health care facility including and the number and availability of SJHC clinical user groups, scheduling parameters set out in Section 18.5(a)(iii) and shall incorporate such schedule into the Works Schedule;
(iiiA) Each WCH clinical user group shall require a minimum 3 rounds of meetings prior to the 50% Design Development Submittal; a minimum of 1 meeting between 50% and 100% Design Development Submittal, and a minimum of 1 meeting between 100% Design Development Submittal and 50% Construction Document Submittal;
(B) There shall be a minimum of ten (10) Business Days between Design Workshops involving the same WCH clinical user group.
(C) No more than 3 WCH clinical user groups shall meet with Project Co in any given week;
(D) The above criteria are for planning purposes only; actual user group availability shall be determined by WCH post Financial Close.
(iv) Project Co shall circulate to the SJHC WCH Representative an agenda for each of the Design Workshops no later than 10 Business Days prior to the relevant Design Workshop;
(ivv) the Design Workshops shall be held in person, except where otherwise agreed by the Parties, acting reasonably;
(vvi) Project Co shall maintain minutes of the Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Workshop, Project Co shall provide to the SJHC WCH Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Workshop;
(vivii) SJHC WCH and Project Co agree that the subject matter of the Design Workshops shall not be regarded as Submittals to which Schedule 10 - Review Procedure applies, and that SJHC WCH shall not be bound by the input provided in connection with the Design Workshops;
(viiviii) Project Co shall submit to SJHC WCH the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and

(d) Prior to the 50% Construction Documents Submittals, the Parties will hold Design Workshops with respect to the following matters and any other Design Workshops required by Project Co, acting reasonably:
(i) preliminary millwork details for key clinical areas and key public areasdetails;
(ii) preliminary ceiling details;; and
(iii) updated door/hardware/security functionality for all spaces;
