Designated Transferee(s). The Service Company, in its capacity as attorney-in- fact hereunder, shall, following the occurrence of any Transfer Event, designate one or more persons (each, a “Designated Transferee”) to be transferred and conveyed all of the Membership Interests of the Member in accordance with this Agreement and applicable law; provided, that each such Designated Transferee shall be an individual qualified to be a member of License Holder under the Act and shall obtain or have obtained the Transfer Approval establishing such qualification. The Designated Transferee(s) shall accept such designation by executing a new Membership Interests Transfer Restriction and Succession Agreement with License Holder and Service Company, in substantially the form and substance of this Agreement.
Designated Transferee(s). Seller acknowledges that Buyer will be involved in land transactions among various third parties in the Everglades Agricultural Area, which transactions will include some of the Property (the "EAA Transactions"). Seller agrees to cooperate in the EAA Transactions and to convey parcels of Real Property and/or assign interests under the Leases to third parties that are designated in writing by Buyer ("Designated Transferee(s)") at least ten (10) business days before Closing or, before a Deferred Closing. Seller shall furnish to Designated Transferees those closing documents, including appropriate representations and warranties contained in a seller's affidavit which shall include those representations and warranties contained in Paragraph 8.1 (c), (d), (e), (f), (g), (p) and (q) below. Conveyances of parcels of the Real Property to Designated Transferees may occur simultaneously with or after, but not before Closing and except as provided in Paragraph 5.6 below, shall be conveyed subject to the Reservations. The EAA Transactions shall not in any way affect the aggregate Purchase Price or the manner of payment thereof and Seller shall not be responsible for any additional costs associated with any EAA Transactions.

Designated Transferee(s). To the extent a Designated Transferee is substituted to Purchaser pursuant to Section 1.2, all representations made with respect to Purchaser under this Article VI will be deemed to be made also with respect to the relevant Designated Transferee as of the date of such substitution and as of Closing Date.
