Directions by Individual Managers in relation to Assistance and Claims. The Director of Oversight Board shall prepare and request the Individual Managers execute a resolution ("Assistance or Claims Resolution") from time to time as needed, directing the Corporate Manager to make any payments set forth in Section 5.3 (c) or (d) when the Individual Manager is the engaging Manager. The Corporate Manager shall follow such direction, and shall not have any discretion to withhold any payment that is so directed, once the Corporate Manager has confirmed that the Company has sufficient funds to satisfy said obligations and once it is satisfied that the direction is in compliance with the provisions of Section 5.3(c) and (d) and Sanctions Regime, AML Laws, and Anti-Bribery Laws. In order to do so, the Corporate Manager may require the Individual Managers to make certain representations regarding the direction, including but not limited to a representation that the direction will not knowingly cause the Corporate Manager to violate an Sanctions Regime, AML Laws or Anti-Bribery Laws. Notwithstanding the foregoing or anything to the contrary herein, the Individual Managers acknowledge that as a matter of law they and the Director of Oversight Board are severally responsible for their own compliance with applicable Sanctions Regime, AML Laws, and Anti- Bribery Laws. The Individual Managers in said Assistance or Claims Resolution or in an amended Assistance or Claims Resolution may also direct the Corporate Trustee to contribute sufficient funds from the Oversight Board Trust to the Company for such purpose.

AIN Selective Carrier Routing will provide <<customer_name>> with the capability of routing operator calls, 0+ and 0- and 0+ NPA (LNPA) 555-1212 directory assistance, 1+411 directory assistance and 611 repair center calls to pre-selected destinations.

  • Training Assistance (a) Employees shall be reimbursed for one hundred percent (100%) of the tuition for job-related courses approved by the Employer.

  • Routing for Operator Services and Directory Assistance Traffic For a Verizon Telecommunications Service dial tone line purchased by iNetworks for resale pursuant to the Resale Attachment, upon request by iNetworks, Verizon will establish an arrangement that will permit iNetworks to route the Reseller Customer’s calls for operator and directory assistance services to a provider of operator and directory assistance services selected by iNetworks. Verizon will provide this routing arrangement in accordance with, but only to the extent required by, Applicable Law. Verizon will provide this routing arrangement pursuant to an appropriate written request submitted by iNetworks and a mutually agreed-upon schedule. This routing arrangement will be implemented at iNetworks’ expense, with charges determined on an individual case basis. In addition to charges for initially establishing the routing arrangement, iNetworks will be responsible for ongoing monthly and/or usage charges for the routing arrangement. iNetworks shall arrange, at its own expense, the trunking and other facilities required to transport traffic to iNetworks’ selected provider of operator and directory assistance services.

  • Consideration of Criminal History in Hiring and Employment Decisions 10.14.1 Contractor agrees to comply fully with and be bound by all of the provisions of Chapter 12T, “City Contractor/Subcontractor Consideration of Criminal History in Hiring and Employment Decisions,” of the San Francisco Administrative Code (“Chapter 12T”), including the remedies provided, and implementing regulations, as may be amended from time to time. The provisions of Chapter 12T are incorporated by reference and made a part of this Agreement as though fully set forth herein. The text of the Chapter 12T is available on the web at xxxx://xxxxx.xxx/olse/fco. Contractor is required to comply with all of the applicable provisions of 12T, irrespective of the listing of obligations in this Section. Capitalized terms used in this Section and not defined in this Agreement shall have the meanings assigned to such terms in Chapter 12T.

  • Peer Assistance and Review Program 1. MCEA and MCPS agree to jointly operate a Peer Assistance and Review (PAR) Program. The PAR Program is a mechanism for maintaining systemwide quality control and ensuring that all MCPS teachers responsible for teaching students are functioning at or above the high MCPS standards of performance. It provides intensive assistance for any teacher who has not yet achieved that standard or who falls below acceptable standards. Assistance and review are provided to both experienced MCPS teachers in need of significant improvement and teachers in their first year of teaching.
