DISAGREEMENT AS TO WHETHER A CHANGE HAS TAKEN PLACE. If the Customer requests, in the form of written orders, specifications or otherwise from an authorised person, the performance of certain specific work that the Supplier believes to fall outside the scope of its obligations pursuant to the MSA, the Supplier shall, in writing, request the Customer to issue a Change Order. Together with the request, the Supplier shall provide the Customer with a study of relevant risks and change consequences, as well as a price estimate (change estimate) pursuant to clause 9.2. The costs associated with the preparation of change estimates shall be paid by the Customer if the Supplier's request for a Change Order is accepted. If the Supplier fails to make such request within a reasonable period of time, the work shall be deemed to form part of the Supplier’s obligations pursuant to the MSA, and the Supplier waives its right to invoke such work as grounds for extending deadlines, additional consideration or damages up to the date the request for a Change Order was presented. Such requests must in any circumstance be presented no later than six (6) months after the work commences.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

  • Waiver The waiver by any party hereto of a breach of any provision of this Agreement shall not operate or be construed as a waiver of any other or subsequent breach.
