Dispute Resolution; Specific Performance. (a) All disputes arising out of or in connection with this Agreement (including, but not limited to, any dispute concerning the existence, validity, formation, effect, interpretation, performance or termination of this Agreement), shall be finally settled and resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (the “HKIAC”) under the HKIAC Rules in force when the Notice of Arbitration is submitted. Any arbitration initiated pursuant to or in accordance with this Agreement shall be conducted as follows:
Dispute Resolution; Specific Performance. (a) This Section 16.4 shall apply to any Arbitrable Dispute arising out of or relating to this Agreement, and shall apply regardless of whether such Dispute is subject to the Purchaser Entities’ release, discharge, or covenant not to sue, whether there is a Contract between the Parties (or with Purchaser Parent), any action in tort or contract, or a statutory action, or the arbitrability of an Arbitrable Dispute, and shall be binding on the Parties and Purchaser Parent and their respective successors and assigns. No Party or Purchaser Parent may prosecute or commence any suit or action against the other Parties or Purchaser Parent relating to any matters that are subject to this Section 16.4, except as provided in this Section 16.4.
Dispute Resolution; Specific Performance. (a) Subject to Section 14(d), any claim or dispute among any of the Parties arising out of or in relation to this Agreement (or any alleged breach thereof) shall be finally determined by arbitration in accordance with the rules then in force by the American Arbitration Association. The arbitration proceedings shall take place in Wilmington, Delaware, or such other location as the Parties in dispute hereafter may agree upon; and such proceedings shall be governed by the laws of the State of Delaware as such laws are applied to agreements between residents of such State entered into and to be performed entirely within that State.
