D&O Resignations. The directors and executive officers of Parent listed in Section 8.3(e) of the Parent Disclosure Letter shall have been removed from their respective positions or tendered their irrevocable resignations, in each case effective as of the Effective Time.
D&O Resignations. The Company will have delivered to Buyer evidence, in form and substance reasonably satisfactory to Buyer, of the resignations or removal of the board of directors (or similar governing body)), advisory board and officers of each Company Group requested in writing by Buyer not less than five (5) Business Days prior to Closing, such resignations or removal to be effective concurrently with the Closing.
D&O Resignations. The directors and executive officers of SVF listed in Section 8.3(e) of the Company Disclosure Letter shall have been removed from their respective positions or tendered their irrevocable resignations, in each case effective as of the Effective Time.
D&O Resignations. The directors and executive officers of TSIA listed in Schedule 8.3(e) shall have been removed from their respective positions or tendered their irrevocable resignations, in each case effective as of the Effective Time.
D&O Resignations. The directors and officers listed on Schedule 9.03(i) shall have resigned, effective as of the Closing.
D&O Resignations. To the extent that Buyer requests that Seller cause any director or officer of a Target Company to resign in such capacity at least two (2) Business Days prior to Closing, Seller shall cause any such individual to deliver a written resignation to Buyer, at and effective as of the Closing, in form and substance reasonably satisfactory to Buyer.
D&O Resignations. Unless otherwise requested by Buyer, the Seller Parties will cause those managers, directors, and officers set forth on Schedule 6.16 to resign such positions effective upon the Closing pursuant to written resignation letters in form and substance reasonably satisfactory to Buyer.
