Documents to be Delivered on the Closing Date. The Closing Date shall be deemed to have occurred when this Agreement shall have been executed and delivered by the parties hereto and (a) the Agents shall have received the following, each dated the Closing Date or within two days prior to the Closing Date unless otherwise indicated, and each in form and substance satisfactory to the Agents unless otherwise indicated and in sufficient copies for each Lender:
