Commercial Version definition

Commercial Version means a version of the Software that is Developer-Based Software or LOC-Based Software and is not available for resale, and neither a Free Version, nor a Trial Version.
Commercial Version means a version of the API/SDK and/or Documentation, so identified, that is neither a Trial Version (as defined below) nor an Education Version (as defined below). “Field of use” means the technical, marketing, sales and other commercial activity in the field of mobile devices anywhere in the world; provided, however, that the field of use does not include activity on behalf of the United States federal government, or any branch, agency, or other political subdivision of the United States federal government. The field of use may include activity on behalf of state, county, or local governments within the United States; however, any such activity on behalf of state, county, or local governments shall be restricted to the field of mobile wallet apps, stock trading apps, banking apps, device screen unlock apps, and form fill apps on mobile devices where the mobile device performs the finger image capture and fingerprint processing. “Mobile devices” means a computing device designed for portable usage which contains an operating system and can run various types of application software, where the device’s primary function is not biometrics (i.e., a process by which a person's unique physical and other traits are detected and recorded by an electronic device or system as a means of confirming identity). Mobile devices include devices known as smartphones and tablets; provided, however, that mobile device does not include laptop computers, desktop computers, or any devices with a hardware-based keyboard. Except as expressly granted by this section 2.1, User shall have no right, title or interest in or to the API/SDK, the Documentation and/or DFT’s products, services or intellectual property (including, but not limited to, patents, copyrights, trademarks, trade secrets and/or other proprietary rights). User of a Commercial Version hereby acknowledges, agrees and represents that he/she/it does not possess any rights or license identified in section 2.2 or section 2.3 below.
Commercial Version means the final version of the iTIM Software which is ready for installation and implementation by end-users in a production environment.

  • LESSEE shall, upon expiration of the Term, or within ninety (90) days after any earlier termination of the Agreement, remove its building(s), antenna structure(s) (except footings), equipment, conduits, fixtures and all personal property and restore the Premises to its original condition, reasonable wear and tear and casualty damage excepted.

  • An “Education Version” shall not be used for a commercial purpose, and is neither a Commercial Version (as defined above) nor a Trial Version (as defined above).

  • In addition to the annual Software Product Plan required by Section 3.2, Company shall prepare an iTIM Software Product Plan for the iTIM Software which includes a detailed description of the functionality to be included in the Commercial Version of the iTIM Software.

  • If this copy of the Software ("New License") has been acquired via a permitted exchange (other than in connection with an upgrade) with a different type of Software license previously acquired by you ("Old License") (e.g. Education Version license for a Commercial Version license, where permitted), you must possess a valid full license to a copy of such Old License in order to install and/or use this New License, and the New License is provided to you on a license exchange basis.

  • If the provisions of the Industrial and Commercial Version of the Equity Transfer Agreement are inconsistent with those of the Agreement, the provisions of the Agreement shall prevail.

  • If T2 has or acquires any Intellectual Property Rights in or to the Licensed Software (including, without limitation, the Closed Beta Version, Open Beta Version and Commercial Version) or any Promotional Materials, Game Materials, Marks or other materials to which T2 is not entitled to joint ownership pursuant to the first sentence of this Section 9.1, T2 shall assign such Intellectual Property Rights to SEGA and/or JCE as instructed by SEGA without additional consideration.

Commercial Version means a version of the Licensed Software in which (a) the localization and translation therefore is complete; (b) the functionality and performance is complete (i.e., the coding of all functions and features (including, without limitation, all artwork, graphics, animation, images, photographs, video and other audio-visual material, sound, music and text and all essential and non-essential data and device files); (c) such version operates hardware having the specifications specified by SEGA from time to time and required for the full use of the Licensed Software; and (d) such version is ready to be commercially released.
