The withdrawal shall take effect 12 months after the date on which the notification is received by the Depositary. 3. Any EFTA State which withdraws from the EFTA Convention or any GCC Member State which withdraws from the Charter of the Co-operation Council for the Arab States of the Gulf, shall, ipso facto on the same day as the withdrawal takes effect, cease to be a Party to this Agreement. A copy of the notification of withdrawal under the EFTA Convention or withdrawal from the Charter of the Cooperation Council for the Arab States of the Gulf shall promptly be submitted to the other Parties. 4. If all EFTA States withdraw or if all GCC Member States withdraw in accordance with paragraph 2, this Agreement shall be terminated as of the date when the withdrawal has taken effect for all EFTA States or all GCC Member States.

Duration, Withdrawal and Termination. 12.1 The Agreement and the Software’s license of use herein shall be valid and effective until the 31st of December of the year following that of signature of the Agreement and of installation of the Software and will automatically renew, upon expiration, for successive one-year renewal periods, unless either party provides written notice to be sent, by registered letter with return receipt, not less than 6 months prior to the expiration of then current renewal period. Therefore, in the absence of a timely notice, the License of Software and of relating Updates and Upgrades as well as the provision of Services shall be automatically renewed for successive one-year periods. However, in the event of a notice, the License of Software and of relating Updates and Upgrades as well as the Licensor’s obligation to provide the Services shall finally cease to produce any effects.

At the end of such period and, subsequently, at each annual expiration date, this Contract, and the related sublicense, shall be automatically renewed for subsequent periods of 12 months each, under the same terms and conditions, unless notice of termination is communicated by one party to the other by registered letter with acknowledgement of receipt, or certified email (PEC), at least three months before the initial expiration date or each subsequent annual expiration. The Foundation is entitled to terminate this Agreement pursuant to and for the purposes of Article 1454 of the Italian Civil Code in the event of the User's failure to comply with this Agreement and its failure to remedy the same within 15 (fifteen) days of the Foundation's written notice to that effect. The User's failure to use the Templates shall not in any way be considered as a withdrawal from this Agreement. It is understood between the parties that this Agreement will be automatically terminated with reference to specific Templates - upon specific communication to the User by the Foundation - should the license agreement between the Producer of such Templates and the Foundation is terminated.
