Common use of Duties and Obligations of Employee Clause in Contracts

Duties and Obligations of Employee. Employee shall serve as the Chief Executive Officer of the Employer pursuant to this Agreement and shall perform the customary duties of each such office in the commercial banking industry as may from time to time be reasonably requested of him by the Board of Directors of the Employer including the following: (a) Providing leadership in planning and implementing the conduct of the business and affairs of the Employer, subject to the direction of the Board of Directors of the Employer, and carrying out responsibilities of the position as outlined in any job description approved by the Board of Directors of the Employer; (b) Participating in community affairs which are beneficial to the Employer; (c) Maintaining a good relationship with the Board of Directors of the Employer, its management officers and shareholders; (d) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its subsidiaries; (e) Acting as a member of the Board of Directors of the Employer and of its subsidiaries and all committees of the respective Boards of Directors to which the Employee may be appointed or elected; and

Duties and Obligations of Employee. Employee shall serve as the Executive Vice President and Chief Executive Credit Officer of the Employer pursuant to this Agreement and shall perform the customary duties of each such office in the commercial banking industry as may from time to time be reasonably requested of him by the Board of Directors of the Employer including the following:Employer. (a) Providing leadership in planning and implementing the conduct carrying out responsibilities of the business and affairs of position as outlined in the Employer, job description subject to the direction of the Board of Directors of the Employer, and carrying out responsibilities of the position as outlined in any job description approved by the Board of Directors of the Employer; (b) Participating in community affairs which are beneficial to the EmployerEmployer and; (c) Maintaining a good relationship with the Board of Directors of the Employer's Directors, its management officers and shareholders; (d) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its subsidiariesEmployer; (e) Acting as a member Providing leadership in planning and implementing the conduct of business and the affairs of the Employer; and (f) Hiring and firing employees other than executive officers of the Employer, subject at all times to the policies and directives set by the Employer's Board of Directors of the Employer and of its subsidiaries and all committees of the respective Boards of Directors to which the Employee may be appointed or elected; andDirectors.

Duties and Obligations of Employee. Employee shall serve as the Chief Executive Officer President of the division of the Employer known as "Bank of Amador, a division of American River Bank" pursuant to this Agreement and Agreemenx xxx shall perform the customary duties of each such office in the commercial banking industry as may from time to time be reasonably requested of him by the Chief Executive Officer or Board of Directors of the Employer including the following: (a) Providing leadership in planning and implementing the conduct of the business and affairs of the Employer, subject to the direction of the Chief Executive Officer and Board of Directors of the Employer, and carrying out responsibilities of the position as outlined in any job description approved by the Board of Directors of the Employer; (b) Participating in community affairs which are beneficial to the Employer; (c) Maintaining a good relationship with the Board of Directors of the Employer, its management officers and shareholders; (d) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its subsidiaries;parent holding company; and (e) Acting as a member of the Board of Directors of the Employer and of its subsidiaries and all committees of the respective Boards of Directors thereof to which the Employee may be appointed or elected; andlected.

Employee shall serve as the President and Chief Executive Officer of the Employer pursuant to this Agreement and shall perform the customary duties of each such office in the commercial banking industry as may from time to time be reasonably requested of him by the Board of Directors of the Employer including in addition to the following: (a) Voting as a member of the Board of Directors of Employer and such committees thereof as the Board of Directors of Employer shall designate; (b) Providing leadership in planning and implementing the conduct of the business and the affairs of the Employer, subject to the direction of the Board of Directors of the Employer, and carrying out responsibilities of the position as outlined in any job description approved by the Board of Directors of the Employer; (bc) Participating in community affairs which are beneficial to the Employer; (cd) Maintaining a good relationship with the Employer's Board of Directors of the EmployerDirectors, its management officers and shareholders; (de) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its subsidiaries;Employer; and (ef) Acting as a member Hiring and firing of all employees other than executive officers of the Employer, subject at all times to the policies and directives set by the Employer's Board of Directors of the Employer and of its subsidiaries and all committees of the respective Boards of Directors to which the Employee may be appointed or elected; andDirectors.

Employee shall serve as the ---------------------------------- President and Chief Executive Officer of the Employer pursuant to this Agreement and shall perform the customary duties of each such office in the commercial banking industry as may from time to time be reasonably requested of him by the Board of Directors of the Employer including Employer, in addition to the following: (a) Providing leadership in planning and implementing the conduct of the business and affairs of the Employer, subject to the direction Voting as a member of the Board of Directors of Employer and the Employer, Subsidiary Banks and carrying out responsibilities of the position such committees thereof as outlined in any job description approved by the Board of Directors of the EmployerEmployer shall designate; (b) Participating in community affairs which are beneficial to the EmployerEmployer and the Subsidiary Banks; (c) Maintaining a good relationship with Employer's shareholders and the Board Boards of Directors of Employer and the Employer, its management officers and shareholdersSubsidiary Banks; (d) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its subsidiariesthe Subsidiary Banks; (ef) Acting as a member Providing leadership in planning and implementing the conduct of business and the Board of Directors affairs of the Employer and the Subsidiary Banks; (g) Hiring and firing of its subsidiaries and all committees employees other than executive officers of the respective Boards Employer, subject at all times to the policies and directives set by the Employer's Board of Directors to which the Employee may be appointed or elected; andDirectors.
