Devotion to Employer’s Business. (a) Subject to the exceptions set forth herein, Employee shall devote his full professional time, attention, best efforts, energy and skill to the business of Employer during the term of his employment necessary to effectively and efficiently execute all job responsibilities set forth in Section 2.1. Employee may devote time and attention to other activities that do not compete with Employer or interfere with Employee’s obligations, duties and responsibilities to Employer hereunder. (b) During Employee’s employment with Employer, Employee shall not engage in any other business duties or pursuits whatsoever, or directly or indirectly render any services of a business, commercial, or professional nature to any other person or organization, whether for compensation or otherwise, that competes with Employer or interferes with Employee’s obligations, duties and responsibilities to Employer hereunder, without the prior written consent of Employer’s CEO. However, the expenditure of reasonable amounts of time for educational, charitable, or professional activities shall not be deemed a breach of this agreement if those activities do not materially interfere with the services required under this agreement and such activities shall not require the prior written consent of Employer’s CEO. (c) This agreement shall not be interpreted to prohibit Employee from making passive personal investments or conducting private business affairs if those activities do not interfere or conflict with the services required under this agreement. However, during the term of Employee’s employment, Employee shall not directly or indirectly acquire, hold, or retain any material interest in any business competing with or similar in nature to the Business.

Devotion to Employer’s Business. (a) Employee shall devote his best efforts and entire productive time, ability and attention to diligently promote and improve the business of Employer during the Term. (b) Employee shall not engage in any other business duties or pursuits whatsoever, or directly or indirectly render any services of a business, commercial or professional nature to any other person or organization, whether for compensation or otherwise, without the prior written consent of the Employer's President & CEO. This Agreement shall not be interpreted to prohibit Employee from making passive personal investments or conducting private business affairs if those private business affairs do not materially interfere with the services required under this Agreement.

However, the Employee shall not directly or indirectly acquire, hold, or retain any interest in any business competing with or similar in nature to the business of Employer, except passive shareholder investments in other financial institutions and their respective affiliates which do not exceed five percent (5%) of the outstanding voting securities in the aggregate in any single financial institution and its affiliates on a consolidated basis. (b) The Employee agrees to conduct himself at all times with due regard to public conventions and morals. The Employee further agrees not to do or commit any act that will reasonably tend to shock or offend the community, or to prejudice the Employer or the banking industry in general. (c) The Employee hereby represents and agrees that the services to be performed under the terms of this Agreement are of a special, unique, unusual, extraordinary, and intellectual character that gives them a peculiar value, the loss of which cannot be reasonably or adequately compensated in damages in an action at law. The Employee therefore expressly agrees that the Employer, in addition to any other rights or remedies that the Employer may possess, shall be entitled to injunctive and other equitable relief to prevent or remedy a breach of this Agreement by the Employee.

However, as more specifically set forth in Section 2. 04, herein, Employee shall not directly or indirectly acquire, hold, or retain any interest in any business competing with or similar in nature to the business of Employer.

The expenditure of reasonable amounts of time for educational, charitable, or professional activities shall not, however, be deemed a breach of this Agreement if those activities do not interfere with the services required of Employee under this Agreement.
Devotion to Employer’s Business. During Employee's employment hereunder, unless prevented by ill health or accident and except during vacation and holidays permitted by this Agreement, Employee shall devote his full-time and best efforts to the performance of his duties as set forth herein.

Devotion to Employer’s Business a) During the Employment Term, Employee shall devote his time and attention to the business of Employer during normal business hours and for such additional amounts of time as are customary in the performance of his duties and responsibilities or as is further required by the Board of Directors of Employer. However, the expenditure of reasonable amounts of time for education, charitable or professional activities, service on the Board of Directors in any corporation or other business entity, and/or management of personal investments and business affairs shall not be deemed a breach of this Agreement if those activities do not materially interfere with the services required under this Agreement or create a conflict of interest with Employer.

(b) Employee shall not engage in any other business duties or pursuits whatsoever, or directly or indirectly render any services of a business, commercial or professional nature to any other person or organization, whether for compensation or otherwise, without the prior written consent of the Employer’s Chief Executive Officer; provided, that (i) Employer recognizes, consents and agrees that Employee shall at all times be permitted to continue to manage Employee’s interest in and the business of Great Land Holdings, L.P. and its affiliates, and (ii) this Employment Agreement shall not be interpreted to prohibit Employee from making passive personal investments or conducting private business, community or philanthropic affairs if those affairs do not materially interfere with the services required under this Employment Agreement.
