DUTIES AND RESPONSIBILITIES OF THE ESCROW AGENT AND THE FOUNDATION. 2.1 This Escrow Agreement expressly sets forth all the duties of the Escrow Agent and the Foundation. Neither the Escrow Agent nor the Foundation shall be bound by (and shall be deemed not to have notice of) the provisions of any other agreement, whether or not previously disclosed to the Escrow Agent, entered into by or involving the Party and no implied duties or obligations of the Escrow Agent shall be read into this Escrow Agreement or any Notice.
