Duties of a Director. (A) The Director shall conduct rehearsals, appear promptly for all scheduled rehearsals, respect the physical property of the production, theatre and place of rehearsals, conduct rehearsals in a manner not violative of any terms of this Agreement, abide by particular artistic policies of the specific theatre to which he/she is contracted, and generally fulfil the artistic planning and production contributions commonly within the scope of the functions of the Director.

Duties of a Director. (A) The Director shall conduct rehearsals, appear promptly for all scheduled rehearsals, respect the physical property of the production, theatre and place of rehearsals, conduct rehearsals in a manner not violative of any terms of this Agreement, abide by particular artistic policies of the specific theatre to which is contracted, and generally fulfil the artistic planning and production contributions commonly within the scope of the functions of the Director. The Director shall make him/herself available for such meetings and consultations as are required by the Theatre, particularly with designers and the Theatre’s production personnel. Such meetings and consultations shall be agreed to in advance and included in the engagement contract, or, after signing, in a rider thereto, and must be specific as to dates, times, locations, and remuneration of travel and accommodation expenses. The Director shall be covered for the insurance coverages provided for in Clause and when providing services under this Clause. The Director agrees to promote the production and may make reasonable publicity appearances and participate in Radio, T.V. and press interviews for that purpose. In addition, he/she shall be generally supportive of the Theatre’s interest during the term of his/her contract.

Employee agrees to comply with all of the Company's policies, standards and regulations and to follow the instructions and directives as promulgated by the Board of Directors of the Company. Employee will devote Employee's full professional and business-related time, skills and best efforts to such duties and will not, during the term of this Agreement, be engaged (whether or not during normal business hours) in any other business or professional activity, whether or not such activity is pursued for gain, profit or other pecuniary advantage, without the prior written consent of the Board of Directors of the Company. This Section will not be construed to prevent Employee from (a) investing personal assets in businesses which do not compete with the Company in such form or manner that will not require any services on the part of Employee in the operation or the affairs of the companies in which such investments are made and in which Employee's participation is solely that of an investor; (b) purchasing securities in any corporation whose securities are listed on a national securities exchange or regularly traded in the over-the-counter market, provided that Employee at no time owns, directly or indirectly, in excess of one percent (1%) of the outstanding stock of any class of any such corporation engaged in a business competitive with that of the Company; or (c) participating in conferences, preparing and publishing papers or books, teaching or joining or participating in any professional associations or trade group, so long as the Board of Directors of the Company approves such participation, preparation and publication or teaching prior to Employee’s engaging therein.

  • DUTIES OF EMPLOYMENT Faculty Member agrees to perform the teaching, service, and research duties and responsibilities set forth in the written statement attached to this Agreement as Appendix “A” and incorporated herein by reference. Faculty Member and UNMC agree that Appendix A shall be periodically reviewed and revised as appropriate in accordance with Sections 3.4.4, 4.1, 4.2, and 4.3 of the Bylaws.

  • Remuneration of Directors The directors are entitled to the remuneration for acting as directors, if any, as the directors may from time to time determine. If the directors so decide, the remuneration of the directors, if any, will be determined by the shareholders. That remuneration may be in addition to any salary or other remuneration paid to any officer or employee of the Company as such, who is also a director.

  • Duties of Contractor The Contractor shall provide the following services relative to this Contract:

  • Appointment of Directors Immediately upon the Effective Time, Parent shall, in accordance with Section 2.3(d), accept the resignations and cause the appointments of those officers and directors of Parent identified in Exhibit C hereto, subject to any notice and waiting period requirements of federal law. At the first annual meeting of Parent’s stockholders and thereafter, the election of members of Parent’s Board of Directors shall be accomplished in accordance with the by-laws of Parent.
