Duties of the Employee. The Executive represents and warrants that the performance by Executive of the Executive’s duties and obligations under this Agreement will not violate any agreement between the Executive and any other person, firm, partnership, corporation or other organization.
Duties of the Employee. Employee shall serve as the Chief Executive Officer of the Corporation. Employee shall do and perform all services, acts, or things necessary or advisable to manage and conduct the business of the Corporation consistent with such position subject to such policies and procedures as may be established by the Board.
Duties of the Employee. 3.1 The Employee will devote his/her best efforts to advance Shellbridge’s interests.
3.2 The Employee agrees that he owes a fiduciary duty to Shellbridge.
3.3 Without the prior consent of the Directors, the Employee shall not, during the terms of this Agreement, directly engage in any business which is competitive with that of Shellbridge or its subsidiaries, or accept employment with or render services to a competitor or take any other action inconsistent with the fiduciary relationship of an executive officer to his/her corporation. The Employee will promptly disclose to Shellbridge any actual or proposed activity of the Employee which may give rise to any conflict with the Employee’s duty to Shellbridge. If the Directors shall find that the Employee is engaging in such competitive or inconsistent or conflicting activity and cause the Employee to be so advised in writing, the Employee shall discontinue such activity within fifteen (15) days of such notice, unless such time shall be extended by the Directors. The Employee shall, within such fifteen (15) day period (or as the same may be extended by the Directors), certify in writing to the Directors that the Employee has discontinued such activity. Failure by the Employee to terminate the activities which are the subject of such notice as herein provided shall be grounds for dismissal of the Employee for cause by the Directors. Shellbridge specifically acknowledges that the Employee is involved with the entities listed on Schedule “A”, if any, and Shellbridge consents to such involvements and consents and agrees that all acts done by the Employee for any of such entities shall not constitute a conflict or competition with Shellbridge, provided that such consent shall not permit any appropriation by the Employee of any business opportunity coming to the Employee in the Employee’s capacity as the Employee or otherwise in the course of Shellbridge’s business.
3.4 The Employee will not, at any time, or in any manner, during the continuance of his/her employment hereunder, divulge any of the confidential affairs or secrets of Shellbridge to any person or persons, without the previous consent in writing of the Directors. During the continuation of his/her employment, the Employee shall not use or attempt to use any information which the Employee may acquire in the course of his/her employment for his/her own benefit, directly or indirectly.

Duties of the Employee. Employee shall serve as the Vice President of Investor Relations and Treasurer of the Corporation. Employee shall do and perform all services, acts, or things necessary or advisable to manage and conduct the business of the Corporation consistent with such position subject to such policies and procedures as may be established by the Board.

Employee shall do and perform all services, acts, or things necessary or advisable to manage and conduct the business of the Corporation consistent with such position subject to such policies and procedures as may be established by the Board.
Duties of the Employee. (a) The Employee shall serve as Chief Executive Officer & President of the Company and the Employee agrees to perform such duties and responsibilities customarily associated with the position, including without limitation the duties and responsibilities as may be assigned from time to time by the Company’s Board of Directors.
(b) During the Employment Period, the Employee shall devote his normal working time and attention to the business and affairs of the Company, and, subject to the terms of this Section 3(b) with respect to service on the board of directors of other entities, will not render services to any other business without the prior written approval of the Board of Directors of the Company. During his employment hereunder, the Employee shall not, directly or indirectly, engage or participate in any business that is competitive in any manner with the business of the Company. Subject to obtaining the prior express consent or approval of the Board of Directors of the Company, the Employee may serve as a member of the board of directors of other entities (other than the board of directors of a business that is competitive with the business of the Company), provided that such service shall not interfere with the Employee’s performance of his duties hereunder. The Employee shall request the consent or approval of the Company’s Board of Directors of his intention to serve on the board of directors (or similar governing body) of any company or other entity prior to commencing such service.
Duties of the Employee. GENERAL DUTIES. Employee shall serve as Vice President - Operations of the Corporation. He shall do and perform all services, acts or things necessary or advisable to manage and conduct the business of the Corporation consistent with such position subject to such policies and procedures as may be established by the Board. Employee shall: (i) devote his entire business time, attention, and energies to the business of the Corporation, and, (ii) faithfully and competently perform his duties hereunder; and, Employee shall not, during the term of this Agreement, engage in any other business activity except as permitted by Article 9.
Duties of the Employee. 5.1. You shall be provided with a detailed job description which will clearly spell out your job responsibilities and expected outcomes of your role during your employment with the Company.
5.2. You shall at all times during your employment with the Company; work such hours as may be required for your proper performance of your duties and devote the whole of your time, attention and abilities during those hours to carrying out your duties in a proper, loyal and efficient manner as is necessary for the proper carrying on of the business of the Company;
5.3. You have to faithfully and diligently perform those duties and exercise such powers as are from time to time assigned to or vested in you by the Company;
5.4. You have to obey all lawful and reasonable directions and all regulations of the Company binding on you including, without limitation, the dress code prescribed by the Company for the time being and from time to time;
5.5. You have to use your best endeavors to promote the interests of the Company and not at any time make any untrue or misleading statement relating to the Company.
5.6. You shall (without further remuneration) if and for so long as the Company reasonably requires during the period of your employment, work outside the normal working hours of the Company without overtime pay.
Duties of the Employee. (A) The Employee shall serve as Co-President of the Aerostructures Division of the Corporation or in such other positions as may be determined by the Board of Directors of the Corporation, and the Employee shall perform such duties on behalf of the Corporation and its subsidiaries by such means, at such locations, and in such manner as may be specified from time to time by the Chief Executive Officer or Board of Directors of the Corporation.
(B) The Employee agrees to abide by and conform to all rules established by the Corporation applicable to its employees.
(C) The Employee acknowledges that the Employee is being employed as a full-time employee, and the Employee agrees to devote so much of the Employee’s entire time, attention and energies to the business of the Corporation as is necessary for the successful operation of the Corporation and shall endeavor at all times to improve the business of the Corporation. The Employee shall not accept any business commitments other than with the Corporation without the advance written consent of the Corporation’s Chief Executive Officer.
Duties of the Employee. C-1 PROFESSIONAL DUTIES: State Statutes, found in Colorado Education Law, define certain requirements and responsibilities for both employees and Boards of Education.
C-1.1 The employee’s individual contract concerns matters needing understanding between the Board and an individual before entering into the mutual commitment of employment.
C-1.2 The District Handbook of Bylaws, Policies and Procedures define most operational matters for Unit B employees. Duties of the employee include pupil registration, attendance-keeping and record keeping, pupil discipline, reporting to parents, supervision of pupils, and the request for, care of, and accounting for instructional materials and equipment.
C-1.3 If there is an inconsistency between an individual contract and this Agreement on a matter concerning hours, terms and conditions of employment, this Agreement shall govern.
C-1.4 This Agreement defines terms and conditions of employment that apply to all members of Unit B. C-1.5 No conflict between the individual contract, administrative procedures, Board policies and the Agreement is intended. In cases where conflict may arise, such will be rectified.
C-2 BOARD POLICIES: The policies of the Board of Education are recognized as being of vital concern to employees affected by them. Consequently, for actions concerning policies not covered in this Agreement, which affect employees in Unit B, the administration shall inform the Association at a reasonable time prior to the initiation of such change, in order to providefor consultation with organizations members.
C-3 CONTRACT YEAR: The contract year for members of Unit B covered by the BVEA Salary Schedule shall consist of 186 scheduled days of which 176 days are scheduled teaching days. Five and one-half (5 ½ ) teacher preparation/teacher work days: one and one-half (1 ½ ) days before students start school, one (1) day at mid-year at the end of the first semester and one (1) day at the end of the school year. The other four (4) half days are to be scheduled by the building on already established Professional Development days in the Board of Education adopted calendar.
