Duty of Loyalty and Best Efforts. Employee shall devote his/her attention, knowledge, and skills to the Company's business interests, and shall do so in good faith and with best efforts. Notwithstanding the above, the Company acknowledges and agrees that Employee may become employed by additional companies (the “Additional Companies”) in any capacity whatsoever, so long as Employee’s devotion of such attention, knowledge, and skills do not substantially interfere with Employee’s duty of loyalty and best efforts to the Company. Employee agrees to refrain from any interest or participation, of any kind whatsoever, in any business directly competitive to the Company’s business, for a term of one (1) year from the termination or expiration of this Agreement.

It is understood that the Consultant has other business interests that may demand substantial time.

It is understood that the Consultant has other business interests that may demand substantial time.

Employee agrees that during his employment, Employee shall devote substantially all of his business time and energies, attention, knowledge, and skills to Employer's business interests and shall do so in good faith, with best efforts, and in accordance with each of the Company’s corporate governance and ethics guidelines, conflicts of interest policies, and all other Company policies (collectively the “Company Policies”). Notwithstanding the above, however, Employee shall be authorized to engage in other employment and other activities described on Exhibit A attached hereto. Employee understands that he shall only be entitled to the compensation and benefits as set forth in this Agreement and Schedule B. Except as may be described on Exhibit A, during his employment, Employee agrees to refrain from any interest, of any kind whatsoever, in any business competitive to Employer's business excepting such preexisting interests already fully disclosed in writing to Employer. Except as may be described on Exhibit A, the Employee further acknowledges he will not engage in any form of activity that produces a "conflict of interest" with those of the Employer unless agreed to in advance and in writing.

Consultant understands that for which they've been engaged, and agrees to loyalty, good faith, and their best efforts to any and all Delivery, as described herein, and to the reasonable satisfaction of the Company. Consultant understands they are entitled ONLY to compensation, for Delivery, as set forth in this Agreement, and agrees to refrain from any action or practice, of any kind whatsoever, which would compete, conflict, impinge on or interfere with the Company or Company's business, in any way. Consultant further acknowledges they will not engage in any action, practice or business that may be construed to be a "conflict of interest" with Company, unless previously agreed to and in writing, and according to the guidelines already set by provisions of Company's signed NDA.
