Duty to Reimburse. The terminated or resigning Master Servicer will reimburse the Trustee (or the Trustee will be reimbursed from the Trust Fund as Other Trust Expenses if the Master Servicer is unable to fulfill its obligations as such under the Trust Documents) for all costs associated with the transfer of servicing, including any costs or expenses associated with the complete transfer of all servicing data and the completion or correction of such servicing information as may be required by the Trustee to rectify any errors or insufficiencies in the servicing information or to enable the Trustee to service the Mortgage Loans properly and effectively.

Duty to Reimburse. The parties mutually agree that the District and Institute have provided mutually beneficial support to each other under the previous operating agreement, and in consideration thereof, the parties agree that neither the District nor the Institute shall be responsible for reimbursing the other for any support provided prior to this Agreement taking effect. The Parties understand that invoices have been previously submitted and paid and this waiver of reimbursement is not intended to apply to these previous transactions. Notwithstanding this waiver of reimbursement, the parties mutually agree that the October 26, 2010 Loan Agreement entered into by the parties shall remain in full force and effect.

  • Indemnification by Xxxxxxxx The Borrower shall indemnify each Recipient, within 10 days after demand therefor, for the full amount of any Indemnified Taxes (including Indemnified Taxes imposed or asserted on or attributable to amounts payable under this Section) payable or paid by such Recipient or required to be withheld or deducted from a payment to such Recipient and any reasonable expenses arising therefrom or with respect thereto, whether or not such Indemnified Taxes were correctly or legally imposed or asserted by the relevant Governmental Authority. A certificate as to the amount of such payment or liability delivered to the Borrower by a Lender (with a copy to the Administrative Agent), or by the Administrative Agent on its own behalf or on behalf of a Lender, shall be conclusive absent manifest error.

  • Payment of Fees and Expenses Borrower shall have paid to Lender all fees, charges, and other expenses which are then due and payable as specified in this Agreement or any Related Document.
