E ffects of Termination. Upon any termination of this Agreement, (a) all licenses granted to You hereunder terminate; and (b) if You have not retained a license to the API under another CDISC license offering: (i) all payments due hereunder, if any, will become immediately due, (ii) You will cease using the API. and Upon request by CDISC, You will certify in writing to CDISC that such actions have occurred.
E ffects of Termination. Upon expiration or earlier termination of this Agreement, Customer shall: (a) pay all Fees due to Xxxxxxxx.xx, including those calculated pursuant to this Section 5; and (b) immediately discontinue use of the Services. Xxxxxxxx.xx will make all Customer Data available to Customer for electronic retrieval for a period of thirty (30) days, but thereafter Xxxxxxxx.xx may, but is not obligated to, delete stored Customer Data. No termination will affect Customer’s obligation to pay all Fees that may have become due before such termination or entitle the Customer to any refund. All sections of this Agreement which by their nature should survive termination will survive termination, including, without limitation, accrued rights to payment, confidentiality obligations, warranty disclaimers, and limitations of liability.
E ffects of Termination. Upon the termination of this Agreement, Operator will cease to be obligated to provide Services, and Vendee will cease to be obligated to pay fees other than those covering Services required or performed prior to the termination of this Agreement. Any actions or claims for or relating to Services rendered or required under this Agreement during the term of this Agreement will survive the termination of this Agreement. The termination of this Agreement for cause is without prejudice to the Parties’ remedies under this Agreement and the Terms, at law, or in equity.
E ffects of Termination. (a) For a period of 30 days after the effective date of termination or expiration of this Agreement (“Wind- Down Period”), Reseller may resell the Wavelink Products for which orders have been accepted by Ivanti as of the effective date of termination or expiration, unless this Agreement was terminated by Ivanti under Section 13.3, in which case Reseller will not have any post-termination distribution rights.
E ffects of Termination. In the event of a termination of this Agreement by either Buyer or Seller as provided in S ection 8.1, this Agreement shall immediately become null and void and have no effect, and none of Buyer, Seller or any of the officers or directors of any of them shall have any Liability of any nature whatsoever hereunder, or in connection with the transactions contemplated hereby, except that Sections 5.6 (Publicity), 8.2 (Effects of Termination), 9.1 (Expenses) and 9.6 (Governing Law; Jurisdiction and Venue) and all other obligations of the parties specifically intended to be performed after the termination of this Agreement shall survive any termination of this Agreement; provided, however, that notwithstanding the foregoing, neither Buyer nor Seller shall be relieved or released from any Liabilities arising out of fraud or breach of any provision of this Agreement or any other agreement delivered in connection herewith prior to such termination.
