OKTA MAKES NO WARRANTY REGARDING ANY NON-OKTA APPLICATION WITH WHICH THE SERVICE MAY INTEROPERATE.

CLIENT AGREES THAT THE MANUFACTURERS OR LICENSORS OF HARDWARE AND SUBLICENSED SOFTWARE MAY PROVIDE CERTAIN WARRANTIES AND OTHER TERMS AND CONDITIONS WITH RESPECT TO THE HARDWARE AND SUBLICENSED SOFTWARE SUPPLIED TO CLIENT UNDER THIS AGREEMENT. XXXXXXX MAKES NO REPRESENTATIONS OR WARRANTIES CONCERNING THE HARDWARE OR SUBLICENSED SOFTWARE. for any breach of the warranties set forth herein or in an Order Form shall be to notify WellSky of the applicable non-conformity, in which case WellSky shall use commercially reasonable efforts to correct such non- conformity by redelivering the Licensed Software, repairing the Cloud Services, and/or reperforming the Professional/Support 7.5. Notwithstanding any other provision of this Agreement, the City is furnishing Proprietary Data on an “as is” basis, without any support whatsoever, and without representation, warranty or guarantee, including but not in any manner limited to, fitness, merchantability or the accuracy and completeness of the Proprietary Data. Licensee is fully and solely responsible for the condition of its radio both before and after any decryption or re- encryption. The City assumes no liability for any errors or omissions herein. Specifically, the City is not responsible for any costs including, but not limited to, those incurred as a result of lost revenues, loss of use of data, loss of use of hardware or equipment, the costs of recovering such programs or data, the cost of any substitute program, the cost of repair of hardware or equipment, claims by third parties, or for similar costs. If discrepancies are found, Licensee agrees to contact the City immediately.
D isclaimer. 10.1. To the fullest extent permitted by law, neither Xxxxx nor the Publisher, except as expressly set forth in this agreement makes any warranties, express or implied, with respect to the subject matter of this agreement and each party expressly disclaims the implied warranties of merchantability, noninfringement, fitness for a particular purpose. Without limiting the generality of the foregoing, the Ogury SDK, Service and Platform are provided “as is” and without warranties of any kind. Ogury and its supplies, licensors and partners do not warrant that the functions contained in the Ogury SDK, Service or Platform will be correct, uninterrupted or error-free, that defects will be corrected, or that the Ogury Service, Platform or the servers that make it available are free of viruses or other harmful components. Except as expressly set forth herein, Ogury makes no guarantee regarding the number, quality, or content resulting from the Ogury Service, or Platform or the timing of delivery. Ogury reserves that right at all times, at its discretion, and without notice, to remove or refuse to distribute any item pertaining to the Ogury SDK, Service or Platform. Ogury does not warrant the results of the use of the Ogury SDK, Service or Platform. Publisher acknowledges that Ogury may modify or suspend the Ogury SDK, Service or Platform at any time in its sole discretion and without notice

The failure of the Parties to successfully develop Candidate Drugs or Licensed Products will not constitute a breach of any representation or warranty or other obligation under this Agreement. EXCEPT AS OTHERWISE EXPRESSLY SET FORTH IN THIS AGREEMENT, ARRAY AND AZ MAKE NO REPRESENTATIONS AND EXTEND NO WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE ARRAY EXISTING TECHNOLOGY, AZ EXISTING TECHNOLOGY, COLLABORATION TECHNOLOGY, COMPOUNDS, CANDIDATE DRUGS, INFORMATION DISCLOSED HEREUNDER OR LICENSED PRODUCTS INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, VALIDITY OF ANY TECHNOLOGY LICENSED HEREUNDER, PATENTED OR UNPATENTED, OR NONINFRINGEMENT OF THE INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES.

WHETHER OR NOT THE FUNDING LENDER ELECTS TO EMPLOY ANY OR ALL OF THE REMEDIES AVAILABLE TO IT IN THE EVENT OF DEFAULT, THE FUNDING LENDER SHALL NOT BE LIABLE FOR THE CONSTRUCTION OF OR FAILURE TO CONSTRUCT OR COMPLETE OR PROTECT THE IMPROVEMENTS OR FOR PAYMENT OF ANY EXPENSE INCURRED IN CONNECTION WITH THE EXERCISE OF ANY REMEDY AVAILABLE TO THE FUNDING LENDER OR FOR THE CONSTRUCTION OR COMPLETION OF THE IMPROVEMENTS OR FOR THE PERFORMANCE OR NON- PERFORMANCE OF ANY OTHER OBLIGATION OF BORROWER. Notwithstanding any provision herein to the contrary, the Governmental Lender, Fiscal Agent and the Funding Lender agree that any cure of any default made or tendered by the Special LP and/or Equity Investor shall be deemed to be a cure by the Borrower and shall be accepted or rejected on the same basis as if made or tendered by the Borrower.
D isclaimer. Royal Bank is not responsible for verifying or changing the authority or information of any User in connection with this Service. This disclaimer applies notwithstanding anything contained in an Authorization Form or other Document provided to Royal Bank.
