I ndependent Contractors. The Parties to this Agreement are independent contractors. Neither Party is an agent, representative, or partner of the other Party. Neither Party shall have any right, power, or authority to enter into any agreement for, or on behalf of, or incur any obligation or liability of, or to otherwise bind, the other Party. This Agreement shall not be interpreted or construed to create an association, agency, joint venture, or partnership between the Parties or to impose any liability attributable to such a relationship upon either Party. I ndependent Contractors. The Parties to this Addendum are independent contractors. None of the provisions of this Addendum are intended to create, nor shall they be interpreted or construed to create, any relationship between Covered Entity and Business Associate other than that of independent contractors. Except as otherwise expressly set forth herein, neither Party hereto, nor any of its representatives, shall be deemed to be the agent, employee or representative of the other Party.
I ndependent Contractors. Covered Entity and Business Associate are independent contractors and this Agreement does not establish any relationship of partnership, joint venture, employment, franchise or agency between the parties. Neither party has the power to bind the other or incur obligations on the other party's behalf without the other party's prior written consent, except as otherwise expressly provided in this Agreement.
I ndependent Contractors. Each Party to this Agreement is entering into this Agreement on its own behalf and not as agent of the other, and this Agreement shall not be construed to create a partnership or joint venture between the Parties, each of which is an independent contractor for the purposes of this Agreement.
I ndependent Contractors. Both parties are independent contractors in the performance of this Agreement. This Agreement does not establish a franchise, joint venture or partnership, or create any relationship of employer and employee, or principal and agent between the parties.
I ndependent Contractors. The relationship of the parties established by this Agreement is that of independent contractors, and nothing contained in this Agreement should be construed to give either party the power to (a) act as an agent or (b) direct or control the day-to-day activities of the other. Financial and other obligations associated with each party’s business are the sole responsibility of that party.
I ndependent Contractors. LCDJFS and Neighborhood Health Association and their agents and employees, will act in accordance with this MOU in an independent capacity, and not as officers, employees or agents of the other Party.
I ndependent Contractors. The Agreement and SOW(s) are not a joint venture or partnership, and each party is entering the relationship as a principal and not as an agent of the other. The parties hereto agree that Provider is an independent contractor in performing the Services.
I ndependent Contractors. Both parties expressly intend that with regard to the provisions of this Agreement, said parties are independent contractors. Further, it is the express intent of the parties hereto that no agent, servant, contractor, or employee assigned by Business Associate to perform the Business Associate obligations described herein shall be deemed an agent, servant, contractor, or employee of University.
I ndependent Contractors. The relationship of the Parties under this Agreement is that of independent contractors, and neither Party is an employee, agent, partner or joint venture of the other.
