Early Termination and Suspension. 11.3.1. In the event of a material breach of this Agreement by one of the parties, a non- breaching party may terminate this Agreement early by giving a breaching party notice of 14 (fourteen) days to remedy the breach.

Early Termination and Suspension. Before Project is complete, the Conservancy may terminate or suspend its funding agreement with the District for any reason by providing District with seven days notice in writing. On or before the date of termination, Consultant shall provide the District and Conservancy with all work, material, data, information, and written, graphic or other work produced, developed or acquired under this MSA (whether completed or partial), in appropriate, readily useable form. Consultant, District and Conservancy expressly agree to waive, release and relinquish the recovery of any consequential damages that may arise out of the termination or suspension of this MSA.

  • Termination and Suspension Customer is entitled to suspend the performance of its obligations in whole or in part or terminate the Agreement with immediate effect, without prejudice to its right to claim damages and without any compensation to or indemnification of Supplier (i) in case Supplier has been declared bankrupt, is in a state of liquidation, has ceased or suspended whole or a substantial part of its business, is subject of a court order or preventative legal scheme of settlement, (ii) in case of non- compliance with the Compliance Requirements or the provisions of safety, health, environment and security or (iii) in case of not approved changes pursuant to article 10. After such termination Customer may return received Goods and/or Services in whole or partly against repayment and retransfer of ownership therein to Supplier.

  • Early Termination In the absence of any material breach of this Agreement, should the Trust elect to terminate this Agreement prior to the end of the term, the Trust agrees to pay the following fees:

  • Early Termination of Services Termination at any time upon 90 days’ prior written notice. Notwithstanding the second sentence of Section 4(b) of the Agreement, individual services within this schedule may be terminated without all other Services being simultaneously terminated. Upon the early termination of any Service(s) in this Schedule, Early Termination Fees of 75% of monthly costs shall be charged each month for 3 months.
