Effect of Event of Withdrawal. Upon the withdrawal (by reason of death or otherwise) of a Partner the Partnership shall not dissolve and the business of the Partnership shall be continued by the remaining General Partners.

Effect of Event of Withdrawal. Upon an Event of Withdrawal of a Member, all property of the Company shall for accounting purposes be deemed sold immediately prior to such withdrawal at the Fair Market Value of such property. Any gain or loss resulting from such deemed sale shall be allocated among the Capital Accounts of all Members immediately prior to such withdrawal in accordance with Article XIII. Except as otherwise provided herein, if the Company is continued pursuant to Section 17.4 upon an Event of Withdrawal, any Member who ceases to be a Member upon such Event of Withdrawal other than pursuant to Sections 6.11 or 6.12 and who at the time of such Event of Withdrawal is not in default of any covenant or obligation hereunder or pursuant to any other agreement relating to the Company shall be entitled to receive an amount in cash equal to the balance in such Member's Capital Account in exchange for such Member's Membership Interests. Any such Distribution to such Member shall be paid to such Member, at the sole discretion of the remaining Members, either in a lump sum or in monthly installments without interest, over a period not to exceed sixty (60) months, commencing with the first day of the second month following the effective date of such resignation; provided, however, that the Company shall not be obligated to make any such Distribution to such Member for so long as, in the sole opinion of the Board of Managers, such Distribution would materially impact the Company's ability to operate its business. Any Member who ceases to be a Member as a result of such Event of Withdrawal will be treated as resigning from any and all positions with the Company and shall immediately cause any and all of its designees or representatives to resign immediately from any and all positions held with the Company on the effective date of such Event of Withdrawal. The withdrawal of any Member as a Member shall terminate all of such Member's rights and privileges hereunder.

Upon any such termination, the duties of the Certificate Registrar with respect to the Class R-I, Class R-II and REMIC III Certificates shall terminate and the Trustee shall terminate, or request the Master Servicer and the Paying Agent to terminate, the Certificate Account and the Distribution Account and any other account or fund maintained with respect to the Certificates, subject to the Paying Agent's obligation hereunder to hold all amounts payable to the Class R-I, Class R-II and REMIC III Certificateholders in trust without interest pending such payment.

  • Effect of Dissolution Except as otherwise provided in this Agreement, upon the dissolution of the Company, the Sole Member shall take such actions as may be required pursuant to the Act and shall proceed to wind up, liquidate and terminate the business and affairs of the Company.   • Termination of Supplement This Supplement shall cease to be of further effect when all outstanding Series 2023-1 Notes theretofore authenticated and issued have been delivered (other than destroyed, lost, or stolen Series 2023-1 Notes which have been replaced or paid) to the Trustee for cancellation, ABRCF has paid all sums payable hereunder, and, if the Series 2023-1 Demand Note Payment Amount on the Multi-Series Letter of Credit Termination Date was greater than zero, all amounts have been withdrawn from the Series 2023-1 Cash Collateral Account in accordance with Section 2.8(i).

  • Effect of a Change in Control In the event of a Change in Control, Sections 6 through 13 of this Agreement shall become applicable to Executive. These Sections shall continue to remain applicable until the third anniversary of the date upon which the Change in Control occurs.   • Limitation of Trust’s Liability The Sub-Advisor acknowledges that it has received notice of and accepts the limitations upon the Trust's liability set forth in its Declaration of Trust. The Sub-Advisor agrees that (i) the Trust's obligations to the Sub-Advisor under this Agreement (or indirectly under the Advisory Agreement) shall be limited in any event to the assets of the Fund and (ii) the Sub-Advisor shall not seek satisfaction of any such obligation from the holders of shares of the Fund nor from any Trustee, officer, employee or agent of the Trust.
