Effect of Phase II Abandonment. Subject to Section 7.3(c), if the Phase II Closing is abandoned pursuant to Section 7.2, the obligations of the parties to consummate the Phase II Closing and all rights and obligations of the parties under this Agreement in respect of the Phase II Business and the Phase II Closing automatically end without Liability against any party or its Affiliates, including the obligation of the Seller to sell or cause to be sold, and the obligation of the Purchaser to purchase, the Phase II Business and the sale, transfer and assignment of the Purchased Assets and Assumed Liabilities to be acquired and assumed by the Purchaser solely upon the consummation of the Phase II Closing.   • EFFECT OF COMPLETION This agreement shall, as to any of its provisions remaining to be performed or capable of having or taking effect following Completion, remain in full force and effect notwithstanding Completion.

  • ABANDONMENT OF PREMISES If the property becomes vacant during the term of this lease, and if at the time of the vacancy Tenant are in default in the payment of any installment of rent, then the rent for the entire term shall become at once due and payable and Landlord may proceed to collect rent for said entire premises, with or without process of law, to take possession thereof, to remove any and all property there from and store as required by law, to lease the premises as agent of Tenant, and to apply the proceeds received from such letting toward the payment of Tenant' rent under this lease; such re-entry and re-letting shall not discharge Tenant from liability for rent, nor from any other obligation under the terms of this lease.

  • Effect of Plan The Award Shares shall constitute Restricted Stock and this grant shall constitute an Award, each as defined in the Company’s Amended and Restated 2014 Flexible Incentive Plan (the “Plan”). Any sale, whether under any power of sale hereby given or by virtue of judicial proceedings, shall operate to divest all right, title, interest, claim and demand whatsoever, either at law or in equity, of Borrower in and to the Property sold, and shall be a perpetual bar, both at law and in equity, against Borrower, its successors and assigns, and against any and all Persons claiming the Property sold or any part thereof under, by or through Borrower, its successors or assigns.
