Effective Date: Employment Term. The term of this Agreement shall run from the Effective Date through December 31, 2008 (the “Term”). However, the Term of this Agreement shall be automatically extended for additional one (1) year periods unless either party provides written notice to the other party that it wishes to terminate this Agreement on or before September 30, 2008, or any future anniversary of September 30. Notwithstanding the foregoing, the Term is subject to early termination under the circumstances set forth in Article V.

Effective Date: Employment Term. This Agreement shall become effective as of December 19, 2016 (the “Effective Date”). The Company agrees to employ Executive, and Executive agrees to serve the Company, on an “at will” basis, which means that either the Company or Executive may terminate Executive’s employment with the Company at any time and for any or no reason, as provided in and subject to Section 5 below. The term of this Agreement shall commence on the Effective Date and continue until Executive’s employment terminates for any reason in accordance with the terms of this Agreement (the “Employment Term”). If the closing of the Merger (the “Closing”) does not occur, and the Merger Agreement is terminated, then upon prompt written notice of either party to the other, the Employment Term shall then end, and the Company shall not have any obligations hereunder, other than payment of any salary and other compensation and benefits then accrued. In that event, the Prior Employment Agreement shall be reinstated, and the Company shall not owe any Severance Pay under section 5.2(c) to Executive.
