Efforts Underway. The Owner has achieved a significant milestone in obtaining City Council approval of the Final Map and Subdivision Agreement for Tract No. 19153 on March 19, 2024. The following documents were recorded in the Official Records of Orange County on June 10, 2024: • Final Map as Document No. 2024000143729; • Subdivision Agreement as Document No. 2024000143727; • Declaration of Covenants so Document No. 2024000143728. Bonds have also been posted for all improvements associated with the Final Map (including River Road north of Cerritos, and off-site SR-57 off-ramp improvements). The Owner has also submitted and revised various grading and construction permits. Construction has commenced as follows: • Infrastructure improvement construction in progress: o Katella Avenue (Xxxxxxxx to River Road) o River Road (Katella to Xxxxxxx Cup Way) o Stanley Cup Way (River Road to Douglass) x Xxxxxxxx (Xxxxxxx Cup Way to Cerritos) • Construction has started on the following structures that are listed below: o Deck B BLD2022-03974 permit issued June 13, 2023 o Deck C BLD2022-03978 permit issued June 13, 2023 o Market Hall BLD2022-04720 permit issued June 19, 2024 o Security Hub BLD2022-05946 permit issued June 26,2024 • Demolition progress: o West of Xxxxxxxx GRA2022-03748 permit issued January 12, 2024 - complete o Deck D GRA2022-03752 permit issued June 4, 2024 - substantially complete with permit closure expected in July o XX Xxxxxx’x BLD2024-02510 permit in plan checkRough grading progress: o West of Xxxxxxxx GRA2022-03750 permit issued January 12, 2024 - substantially complete with permit closure expected in July o Deck D GRA2022-03751 permit issuance imminent

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

  • NOW, THEREFORE the parties hereto agree as follows:

  • WHEREAS the Company desires the Warrant Agent to act on behalf of the Company, and the Warrant Agent is willing to so act, in connection with the issuance, registration, transfer, exchange, redemption and exercise of the Warrants; and

  • Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

  • Term The term of this Agreement will be ten (10) years from the Effective Date (as such term may be extended pursuant to Section 4.2, the “Term”).

  • Definitions For purposes of this Agreement:

  • Insurance The Company and the Subsidiaries are insured by insurers of recognized financial responsibility against such losses and risks and in such amounts as are prudent and customary in the businesses in which the Company and the Subsidiaries are engaged, including, but not limited to, directors and officers insurance coverage. Neither the Company nor any Subsidiary has any reason to believe that it will not be able to renew its existing insurance coverage as and when such coverage expires or to obtain similar coverage from similar insurers as may be necessary to continue its business without a significant increase in cost.

  • Counterparts This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

  • Termination This Agreement may be terminated at any time prior to the Closing:

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time. TIPS reserves the right to request additional proposals for items or services already on Agreement at any time.
