Elder Benefits. The Trustees may, in their discretion, make distributions to provide an Elder’s Benefit to the Elder Beneficiaries. An “Elder Beneficiary” is a Primary Beneficiary who satisfies such eligibility criteria as the Trustees may establish, including without limitation, a consideration of any MTNT Stock that is issued specifically to an Elder as defined in ANCSA. Any Elder’s Benefit may be made, in the sole discretion of the Trustees, at such date or dates as the Trustees shall determine, either (i) on a pro rata basis based on the number of shares of MTNT Stock held by each Elder Beneficiary, or (ii) in a specified dollar amount to all Elder Beneficiaries, with each Elder Beneficiary receiving the same amount regardless of the number of shares of MTNT Stock each Elder Beneficiary holds. The Trustees may from time to time establish the policies, procedures, criteria, definitions, determinations and guidelines governing the distribution of Elders’ Benefits in the Trustees’ sole discretion.
