Elections; Ancillary Matters. (A) In the event that Limited Partners are given the opportunity to elect to receive REIT Shares or OP Units in connection with any REIT Offering, each Limited Partner acknowledges that applicable securities laws may require such Limited Partner to make an irrevocable investment decision in respect of such election prior to the initial filing of any registration statement for the REIT Offering. Accordingly, each Limited Partner agrees to facilitate any such REIT Offering by making any such election, and executing and delivering such other documents as requested by the General Partner in connection therewith (including, without limitation, election forms, powers of attorney in favor of the General Partner or its designee, accredited investor questionnaires, significant stockholder questionnaires, customary underwriter “lock-up” agreements and/or other documents memorializing the terms of any contribution or other transfer of Interests or assets to the Newco REIT or its subsidiaries) within any reasonable time period requested by the General Partner and, in any event, prior to the expected or targeted date of the first filing of the registration statement for such REIT Offering.

  • Modifications and Updates to the Wire Center List and Subsequent Transition Periods 2.1.4.12.1 In the event BellSouth identifies additional wire centers that meet the criteria set forth in Section 2.1.4.5, but that were not included in the Initial Wire Center List, BellSouth shall include such additional wire centers in a carrier notification letter (CNL). Each such list of additional wire centers shall be considered a “Subsequent Wire Center List”.
