Employee Non-Competes. To the knowledge of the Seller, none of its employees are subject to any agreement or other obligation not to compete with the Seller or the business of the Seller or the Buyer or the business of the Buyer.

Employee Non-Competes. The Manager shall cause each of its key employees to enter into non-competition agreements pursuant to which each of its employees shall agree that during their employment with the Manager and for a period of one year after termination thereof (whether voluntary or involuntary), such employee shall not (i) directly or indirectly maintain an ownership interest in, operate, or work for any entity which produces, packages or distributes dairy, juice or other food related products in any of the Republics of the former Soviet Union in which the Company engages, or proposes to engage, in such activities, (ii) solicit, do business with, or deliver products or services to any person or entity who was a client or customer of the Company, or (iii) employ or offer to employ any individual who was employed by the Manager or the Company or in any way associated with the Manager or the Company. For purposes of this Agreement, the term "key employees" shall refer to Xxxx X. Xxxx, Erlan Sagadiev, Xxxxx Xxxxxxxx, and Xxxxx X. Xxxxx, and any other individuals employed by the Manager during the term of this Agreement to perform duties for the Manager similar to those performed by the four foregoing individuals.
Employee Non-Competes. Prior to Closing Seller shall obtain a Non-Compete and Non-Solicitation Agreement (the "Non-Competes") from each of its employees in the form attached hereto and made a part hereof as Exhibit D. Seller shall assign the Non-Competes to Swisxxx xx the Closing Date.
Employee Non-Competes. All fees, incentives, costs, expenses or other payments incurred in connection with the inducement of Transferred Employees to enter into non-competition agreements in favor of Buyer will be borne solely by Buyer. Buyer will use commercially reasonable efforts to obtain the non-competition agreements referred to in Section 6.07.

  • Employment; Noncompetition; Nondisclosure The Manager has not been notified that any of its executive officers or key employees named in the General Disclosure Package (each, a “Company-Focused Professional”) plans to terminate his or her employment with the Manager or Colony, as the case may be.   • Non-Compete During the term of this Agreement and for a period of twelve (12) months following the Director’s removal or resignation from the Board of Directors of the Company or any of its subsidiaries or affiliates (the “Restricted Period”), the Director shall not, directly or indirectly, (i) in any manner whatsoever engage in any capacity with any business competitive with the Company’s current lines of business or any business then engaged in by the Company, any of its subsidiaries or any of its affiliates (the “Company’s Business”) for the Director’s own benefit or for the benefit of any person or entity other than the Company or any subsidiary or affiliate; or (ii) have any interest as owner, sole proprietor, stockholder, partner, lender, director, officer, manager, employee, consultant, agent or otherwise in any business competitive with the Company’s Business; provided, however, that the Director may hold, directly or indirectly, solely as an investment, not more than one percent (1%) of the outstanding securities of any person or entity which is listed on any national securities exchange or regularly traded in the over-the-counter market notwithstanding the fact that such person or entity is engaged in a business competitive with the Company’s Business. In addition, during the Restricted Period, the Director shall not develop any property for use in the Company’s Business on behalf of any person or entity other than the Company, its subsidiaries and affiliates.

  • Noncompetition Period For the purpose of Section 9 of this Section, “Noncompetition Period” shall mean the period of employment hereunder and the period commencing on the date of termination of employment and ending 12 months thereafter. If employee is found to have violated the covenants contained herein during the Noncompetition Period such Noncompetition Period shall be extended for a period equal to the amount of time the Employee is found to have been in non-compliance.
