Employee’s Activities. During the term of the Employment Agreement, neither Employee nor any person or entity acting with or on Employee’s behalf, nor any person or entity under the control of or affiliated with Employee, shall, directly or indirectly, in any way Compete with the Company. Employee agrees that, if Employee has any business to transact on Employee’s own account that is similar to the business entrusted to Employee by Company, Employee shall notify Company and always give preference to Company’s business. Employee agrees that such restrictions are fair and reasonable. For purposes of this Agreement, “Compete” means doing any of the following: (i) selling products or services to any person or entity that was or is (at any time, including during the Term and the period when the provisions of this paragraph are in effect) a client or customer of Company (or its subsidiaries, affiliates or divisions) or on a list of prospective clients or customers of Company, or calling on, soliciting, taking away or accepting any such person or entity as a client or customer, or any attempt or offer to do any of the foregoing; (ii) entering into, or any attempt or offer to enter into, any business, enterprise or activity that is in any way similar to or otherwise competitive with the business that the Company (or its subsidiaries, affiliates or divisions) conducted at any time during the Term or any time the provisions of this paragraph are in effect, or (iii) directly or indirectly assisting any person or entity to take or attempt or offer to take any of the actions described in the foregoing clauses (i) or (ii).

Employee’s Activities. Employee is permitted to continue to work on existing commitments, as long as they do not hinder or interfere with Employee’s obligations hereunder. These existing commitments include, but are not limited to, work with Multidisciplinary Association for Psychedelic Studies (“MAPS”), trainings and working with existing clients. In addition, Employee is permitted to engage in other projects or interests, in a volunteer capacity or for remuneration, as long as they do not conflict with Employee’s duties hereunder. Should Company deem any of Employee’s activities to be in conflict with their duties to Company, Company shall give Employee notice of such conflict and provide sufficient time (a minimum of ten (10) days’ notice) for Employee to take corrective action.
Employee’s Activities. In consideration of the foregoing agreements of the Corporation and of the payments to be made by the Corporation pursuant thereto, the Employee hereby agrees that, so long as Employee remains in the active employ of the Corporation, Employee will devote substantially all of Employee's time, skill, diligence and attention to the business of the Corporation.
Employee’s Activities. 5.1 Employee shall devote up to 8 days every quarter to the business and affairs of the Company, when, where and as requested by the Company. Travel time, telephone conferences, and time spent preparing for providing services hereunder shall all qualify as time devoted to providing services hereunder.

Party agrees to ensure that all of its subcontractors or sub-grantees also remain in legal compliance as to the appropriate classification of “workers” and “independent contractors” relating to unemployment compensation insurance and workers compensation coverage, and proper payment and reporting of wages. Party will on request provide to the Agency of Human Services information pertaining to the classification of its employees to include the basis for the classification. Failure to comply with these obligations may result in termination of this Agreement.

  • Securities Activities A. Neither Company nor any of its Subsidiaries is engaged principally, or as one of its important activities, in the business of extending credit for the purpose of purchasing or carrying any Margin Stock.

  • Outside Activities Subject to the Articles of Incorporation and any agreements entered into by the General Partner or its Affiliates with the Partnership or a Subsidiary, any officer, director, employee, agent, trustee, Affiliate or stockholder of the General Partner shall be entitled to and may have business interests and engage in business activities in addition to those relating to the Partnership, including business interests and activities substantially similar or identical to those of the Partnership. Neither the Partnership nor any of the Limited Partners shall have any rights by virtue of this Agreement in any such business ventures, interest or activities. None of the Limited Partners nor any other Person shall have any rights by virtue of this Agreement or the partnership relationship established hereby in any such business ventures, interests or activities, and the General Partner shall have no obligation pursuant to this Agreement to offer any interest in any such business ventures, interests and activities to the Partnership or any Limited Partner, even if such opportunity is of a character which, if presented to the Partnership or any Limited Partner, could be taken by such Person.

  • Promotional Stock Activities Neither the Company nor any Subsidiary of the Company and none of their respective officers, directors, managers, affiliates or agents have engaged in any stock promotional activity that could give rise to a complaint, inquiry, or trading suspension by the SEC alleging (i) a violation of the anti-fraud provisions of the federal securities laws, (ii) violations of the anti-touting provisions, (iii) improper “gun-jumping; or (iv) promotion without proper disclosure of compensation.

  • Employees and Benefits With respect to Employee Benefit Plans, credit for service accrued by Continuing Employees (and eligible dependents) for employment with Stonepath and/or the Company prior to the Closing Date shall be recognized (except to the extent necessary to prevent duplication of benefits), any pre-existing condition limitations (to the extent such limitations did not apply to a pre-existing condition under a similar or corresponding Stonepath Employee Benefit Plan) and eligibility waiting periods applicable to any Continuing Employee shall be waived, and employees shall be given credit for amounts paid or vesting under any Stonepath or Company Employee Benefit Plan during the same period for purposes of applying deductibles, co-payments and out-of-pocket maximums as though such amounts had been paid in accordance with the terms and conditions of the applicable Employee Benefit Plan of Purchaser. With respect to 401(k) plan matters, Continuing Employees shall be eligible to participate in the Company 401(k) plan to be created by Purchaser, effective within 60 days after the Closing Date. Prior to Closing, the Parties will agree on a list of employees that will be terminated by Stonepath and hired by Purchaser at Closing ("Continuing Employees"). Provided that the Company has established medical plans for the Continuing Employees as of the Closing Date, all such Continuing Employees shall be terminated from Stonepath's Employee Benefit Plans as of the Closing Date, pursuant to Applicable Law, and be covered by Purchaser's plans, including medical coverage, thereafter. To the extent the Purchaser does not have new plans in place on the Closing Date, Stonepath shall continue to maintain coverage for the Continuing Employees for the remainder of the month of the Closing Date at Purchaser's expense, including any expenses of administration. The estimated reimbursement for such medical coverage as determined by Stonepath shall be paid by Purchaser to Stonepath prior to the date that it is due from Stonepath, with an actual reconciliation to follow within thirty (30) days of the delivery to Purchaser of documentation of actual costs.
