Employee's Indemnity. Employee shall be entitled to the benefits of the indemnity provided by Company's articles of incorporation, bylaws or otherwise immediately prior to the Change in Control, and any subsequent changes to the articles of incorporation, bylaws, or otherwise reducing the indemnity granted to officers shall not affect the rights granted hereunder. Company may not reduce these indemnity benefits confirmed to Employee hereunder without the written consent of Employee.
Employee's Indemnity. Employers shall be responsible in accordance with the Employees' Liability Act 1991 to indemnify employees against liability for fault (as defined in that Act) arising out of the performance of work by the employee, when they are acting in accordance with the Centre’s policies, procedures and code of ethics.
Employee's Indemnity. Inala shall be responsible in accordance with the Employees' Liability Xxx 0000 to indemnify its employees against liability for fault (as defined in that Act) arising out of the performance of work by the employee.

Working Ventures Insurance Solutions (XXXX) agrees to be responsible for any legal costs such as fine or penalty that may be incurred by an employee of WVIS, that arise as a result of the performance of the duties carried out in their job, not covered by the E & O policy held by WVIS but not for legal proceedings that arise as a result of criminal or willfully fraudulent acts done by the Employee.

Employee's Indemnity. MCW shall indemnify employees, in accordance with the Employees’ Liability Xxx 0000, against liability for fault (as defined in that Act) arising out of their performance of MCW work carried out with due diligence by the employee.
Employee's Indemnity. Employee shall be entitled to the indemnity --------------------- provided to officers of Bank immediately prior to the Change of Control. Any changes to Bank's bylaws or otherwise which reduce any indemnity granted to officers shall not affect the rights granted hereunder. Bank shall not reduce any of Employee's indemnity benefits without the prior written consent of the Employee. Any references to Georgia law in the bylaws of Bank or other documents granting indemnity to Employee shall be deemed to be references as of the date of this Agreement, and any amendments to Georgia law, including a revocation thereof, shall not reduce the indemnity benefits granted hereunder.
Employee's Indemnity. The Tenants’ Union shall be responsible in accordance with the Employees’ Liability Act 1991 to indemnify employees against liability for fault (as defined in that Act) arising out of the performance of work by the employee.

Employee's Indemnity. 17.3.1 The Council will generally indemnify employees, past and present, against claims made against them. The Council will not make claims against employees, for any loss or damage also caused by any neglect, act, error or omission committed by the employee in doing their work.
17.3.2 The indemnity will not extend to loss or damage done directly, or indirectly caused by, or arising, from:
i) fraud, dishonesty, gross negligence, wilful act or a criminal offence on the part of the employee, which would justify the immediate termination of the employee’s contract of employment;
ii) any neglect, error, or omission by the employee otherwise than in the course of their duties;
iii) liability arising from surcharges made by the District Auditor.
17.3.3 The indemnity will not apply if an employee, without the written authority of the Law & Democratic Services Director admits liability to a claimant or negotiates or attempts to negotiate a settlement of any claim falling within the scope of this indemnity.
17.3.4 This indemnity will not be prejudicial to any action taken against an employee for negligence by means of disciplinary proceedings undertaken within the Council’s existing disciplinary procedures. Nor will it prevent the authority at its discretion indemnifying its employees in circumstances not covered by this indemnity.
