Employees Terminated Prior to Closing. Purchaser shall not assume any Liabilities with respect to Company’s termination of employment of any Business Employee on or prior to the Closing Date or with respect to any Business Employee who is not a Transferred Employee, including, without limitation, any accrued and unpaid wages and accrued vacation; provided, however, that Purchaser shall pay the cost of severance in accordance with the Company severance policy as previously provided to Purchaser (or as may be required by applicable Law) for any Business Employee who does not receive an offer (it being understood that Purchaser has agreed to make an offer to each Business Employee and the foregoing is not meant to be stipulated damages in the event of Purchaser’s breach of Section 4.5(a)) and provided, further, that nothing in this Section 4.5(e)(i) shall relieve Purchaser from its obligations under the Severance and Retention Agreements.

(ii) If the Optionee's employment terminates by reason of death, Disability, Retirement, the termination of the Optionee's employment by the Company other than for Cause, or the termination of the Optionee's employment by the Optionee for Good Reason, the Option shall become fully and immediately vested and exercisable. In the event of a Change in Control (as defined in the last Section hereof), the Option shall immediately become fully vested and exercisable.
