Employee’s Title. AXOGEN hereby employs Employee as Chief Commercial Officer, which title may change at AXOGEN’s discretion.

Employee’s Title. As the Company is not currently taking the position that you have breached your Employment Agreement or were terminated for cause, we will retain you on the payroll through the expiration date of your Employment Agreement, on the terms and conditions detailed in this letter. You will receive regular paychecks (direct deposit is not available) contingent upon you returning the complete mitigation verification form referenced (which the Company will provide). The expiration date of your Employment Agreement excludes any future option(s) to extend the term of your Employment Agreement, which the Company hereby declines to exercise. In order to remain on the payroll, you must provide the following information:

Employee’s Title. Upon the effective date of this Amendment No. 1 to the Employment Agreement, Employee’s title shall be President and Chief Executive Officer of the Company. The parties expressly acknowledge and agree that the amendment of the Employee’s title effected pursuant to this Section 2 shall not constitute grounds for Employee to resign from the Company with good reason under Section 4F of the Employment Agreement.
