Marketing and Sales. A. Provide a detailed ninety-day plan beginning from award date of the Master Agreement describing the strategy to immediately implement the Master Agreement as supplier’s primary go to market strategy for Public Agencies to supplier’s teams nationwide, to include, but not limited to: i. Executive leadership endorsement and sponsorship of the award as the public sector go-to-market strategy within first 10 days ii. Training and education of Supplier’s national sales force with participation from the Supplier’s executive leadership, along with the OMNIA Partners team within first 90 days B. Provide a detailed ninety-day plan beginning from award date of the Master Agreement describing the strategy to market the Master Agreement to current Participating Public Agencies, existing Public Agency customers of Supplier, as well as to prospective Public Agencies nationwide immediately upon award, to include, but not limited to: i. Creation and distribution of a co-branded press release to trade publications ii. Announcement, Master Agreement details and contact information published on the Supplier’s website within first 90 days iii. Design, publication and distribution of co-branded marketing materials within first 90 days iv. Commitment to attendance and participation with OMNIA Partners at national (i.e. NIGP Annual Forum, NPI Conference, etc.), regional (i.e. Regional NIGP Chapter Meetings, Regional Cooperative Summits, etc.) and supplier-specific trade shows, conferences and meetings throughout the term of the Master Agreement v. Commitment to attend, exhibit and participate at the NIGP Annual Forum in an area reserved by OMNIA Partners for partner suppliers. Booth space will be purchased and staffed by Supplier. In addition, Supplier commits to provide reasonable assistance to the overall promotion and marketing efforts for the NIGP Annual Forum, as directed by OMNIA Partners. vi. Design and publication of national and regional advertising in trade publications throughout the term of the Master Agreement vii. Marketing and Sales. Subject to the terms and conditions of this Agreement, all business decisions concerning the sales and marketing of Product in the Territory, including the price, other sale and promotional terms thereof, will be within the sole discretion of CryoLife. Upon SMI’s reasonable request, but no more frequently than twice per calendar year, CryoLife will discuss with SMI CryoLife’s marketing plans for Product in the Territory.

The Underwriter shall be responsible for filing, as required, all promotional, sales or advertising material, whether developed by the Company, the Underwriter or the Wholesaler, with the NASD and any federal and state securities, governmental or regulatory agencies. Marketing and Sales. (a) The Licensee, will have lines of shoes ready for commercial sale under Xxxxxxxx Gucci Name and the Jennicor Marks on or before 6 months from signing and will begin such commercial sale on or before such date. (b) The Licensee shall use its best efforts to sell, promote and develop the sale of the Products under the Xxxxxxxx Gucci Name and the Jennicor Marks throughout the Territory. (c) In order to assist in the promotion of the Products, Jennicor shall arrange to have Xxxxxxxx Gucci make a reasonable number of personal appearances from time to time at the request of the Licensee given in each case upon at least thirty days' prior notice. The Licensee will reimburse Xxxxxxxx Gucci for first class travel for two individuals, hotel and incidental expenses relating to such appearances. (d) All advertising and promotional policies and other matters with respect to the sale of the Products including, but not limited to, content and layout of any advertisements or advertising campaigns, point of sale material and sales promotion and exhibition material, shall require Jennicor's prior written approval to the extent to which such policies and matters are under control of the Licensee. The Licensee shall submit to Jennicor for its inspection and approval, free of charge, specimens of all advertising, public relations and promotional material proposed to be used for the Products. The Licensee shall also furnish to Jennicor, free of charge, specimens of all advertising, public relations and promotional material relating to the Products promptly following their first use or appearance. (e) The Licensee shall consult with Jennicor before distributing any Products without charge. No such distribution shall take place without the prior written approval of Jennicor.

In connection with Quinton's compliance with this Section 10.2, Quinton will provide Mortara with all information it reasonably xxquests, including but not limited to distribution records, copies of any filings made in connection therewith and any promotional literature, sales literature, books, catalogues and the like prepared in connection with the Products. Mortara will, at Quinton's expense, furnish Quinton with such assistance and cooperation as may reasonabxx xx requested in connection with compliance with such governmental requirements.
