Employment Letters. Target shall have prepared a written offer of Employment that is mutually acceptable to Dencor, Maynxxx Xxx, Xxeoxxxx Xxxxxx, Xxrget and their respective counsel, offering Maynxxx Xxx xxx Theoxxxx Xxxxxx xxxl time positions with the Surviving Corporation at a base rate of $70,000 per year substantially in the form of Schedule 6.17.
Employment Letters. Xxxxxx Xx shall have executed and delivered an employment offer letter and agreement (which contains invention assignment, non-competition and non-solicitation provisions) with the Surviving Company, a Subsidiary or Parent (as designated by Parent).
Employment Letters. Prior to the Closing, the Company shall use reasonable best efforts to obtain from each individual identified on Schedule 6.11 a signed employment letter on behalf of Acquirer (in a form provided by Acquirer) setting forth the terms of employment for each such individual’s employment with Acquirer, which shall, at a minimum comply with the requirements set forth in Section 6.9, effective as of the Effective Time, and further providing that such employment letter supersedes the terms of any existing employment agreement or arrangements between the Company and each such individual. The aggregate amount of severance or other employment-related expenses payable to the individuals who do not execute an employment letter pursuant to this Section 6.11, other than severance or other employment-related expenses payable in connection with ordinary course terminations of employment occurring prior to the Closing, is referred to as the “Aggregate Non-Agreed Employment Letter Amount”.
Employment Letters. Copies of each of the Employment Letters executed by RBC and all of the Key Employees.

Robert Cochran shall have received the Cochran Employment Agreement exxxxxxx xx xxx Company.
Employment Letters. Not less than three (3) Business Days prior to the Closing Date, the Acquiror shall deliver to each of the individuals listed on Schedule 6.18 a letter addressing the employment matters set forth on Schedule 6.18.
