Employment Status and Duties. Upon the terms and subject to the conditions set forth in this Agreement, Employer hereby employs Executive, and Executive hereby accepts exclusive employment with Employer. During the Term (as defined below), Executive shall serve as Executive Vice President, General Counsel and Secretary. Executive shall have such duties, functions, authority and responsibilities as are commensurate with the position. Executive’s services hereunder shall be performed on an exclusive, full-time basis in a professional, diligent and competent manner to the best of Executive’s abilities. Executive shall not undertake any outside employment or business activities without the prior written consent of Employer. Employer consents to Executive’s continued involvement with the Xxxxxx and Xxxx X. Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with Executive’s duties and obligations under this Agreement. Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Executive is elected as a member of the Board of Directors of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.10. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.10.

Employment Status and Duties. Executive shall not undertake any outside employment or business activities without the prior written consent of Employer. Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with Executive’s duties and obligations under this Agreement. Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Executive is elected as a member of the Board of Directors of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1017.9. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates (including but not limited to the Broadcaster Traffic Consortium, LLC (“BTC”) if appointed to such position(s) by Employer and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.1017.9.

Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with Executive’s duties and obligations under this Agreement. Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices located at 000 X. Xxxxxxxx Xxxxxxxxx, Xxxxx 000, Xxxxxxxx, Xxxxxxxxxx, or if Employer no longer maintains possession of those premises, then such offices as may be designated by Employer in IndianapolisLos Angeles, IndianaCalifornia. If Executive is elected as a member of the Board of Directors Director of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1014.12. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.1014.12.

Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. Employer hereby approves Executive’s participation as a member of the board of directors of Xxxxxxx, Xxx. and his ownership of Cougar Homes, LLC, each subject to the restrictions set forth in the preceding sentence. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Executive is elected as a member of the Board of Directors of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1017.9. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.1017.9.

If Executive is elected as a member of the Board of Directors Director of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.10. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.10.

Executive shall not undertake any outside employment or business activities without the prior written consent of Employer. Employer consents to Executive’s continued involvement with the Xxxxxx and Xxxx X. Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with Executive’s duties and obligations under this Agreement. Executive shall be permitted to serve on the board of other charitable or charitable, civic and for-profit organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Executive is elected as currently a member of the Board of Directors of Emmis Communications Corporation (“ECC”), and he shall continue to serve in such position position, subject to election by ECC’s shareholders, without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1018.10. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.1018.10.

Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with Executive’s duties and obligations under this Agreement. Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Employer shall use its best efforts to cause Executive is elected as to be a member of the Board of Directors of Emmis Communications Corporation (a “ECCDirector”), he ) throughout the Term and shall include Executive in the management slate for election as a Director at every annual shareholders’ meeting during the Term at which Executive’s term as a Director would otherwise expire. Executive shall serve in such position as a Director without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1015.11. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer the Board and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.1015.11.

Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Executive is elected as a member of the Board of Directors of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.10. Executive shall also serve without additional remuneration as a director and/or an officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer or another member of the MediaCo Group, and shall also be entitled to the benefit of indemnification for such position(s) pursuant to the terms of Section 17.1014.9. Executive will be subject to all applicable employment and other policies of Employer, as outlined in Employer’s employee handbook and elsewhere.

It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be at Executive’s home office located in Arlington, Virginia; provided, however, that in the offices designated event Employer establishes an office in or near the Washington, D.C. metropolitan area at any time during the Term, Executive shall be required to work from such office as requested by Employer in Indianapolis, IndianaEmployer. Employer hereby approves Executive’s participation as a member of the Board of Directors of EdChoice, Inc. and Goodwill of Central and Southern Indiana. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Executive is elected as a member of the Board of Directors of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1017.9. Executive shall not undertake any outside employment or business activities without the prior written consent of Employer. Employer consents to Executive’s continued involvement with the Xxxxxx and Xxxx X. Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with Executive’s duties and obligations under this Agreement. Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Employer shall use its best efforts to cause Executive is elected as to be a member of the Board of Directors of Emmis Communications Corporation (a “ECCDirector”), he ) throughout the Term and shall include Executive in the management slate for election as a Director at every annual shareholders’ meeting during the Term at which Executive’s term as a Director would otherwise expire. Executive shall be permitted to serve on the board of other charitable or charitable, civic and/or for-profit organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance Employer hereby approves of Executive’s duties membership on the following boards, so long as such membership complies with this Section 1: National Association of Broadcasters, Radio Advertising Bureau, Radio Music License Committee, Alumni Board of Governors at University of Michigan’s Xxxx School of Business Administration and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, IndianaCenter for Leadership Development. If Executive is elected as currently a member of the Board of Directors of Emmis Communications Corporation (“ECC”), and he shall continue to serve in such position during the Term, subject to election by ECC’s shareholders, without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1018.10. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.1018.10.

Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with Executive’s duties and obligations under this Agreement. Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. Employer hereby approves Executive’s participation as a member of the board of directors of Xxxxxxx, Xxx. and his ownership of Cougar Homes, LLC, each subject to the restrictions set forth in the preceding sentence. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in or around Indianapolis, Indiana. If Executive is elected as a member of the Board of Directors of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1014.9. Executive shall also serve without additional remuneration as an officer of ECC and as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by ECC, Employer or another member of the Emmis Group, and shall also be entitled to the benefit of indemnification for such position(s) pursuant to the terms of Section 17.1014.9.

Executive shall not undertake any outside employment or business activities without the prior written consent of Employer. Employer consents to Executive’s continued involvement with the Xxxxxx and Xxxx X. Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with Executive’s duties and obligations under this Agreement. Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. If Executive is elected as a member of the Board of Directors of Emmis Communications Corporation (“ECC”), he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.10. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer and shall also be entitled to the benefit of indemnification pursuant to the terms of Section 17.10.

It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in Indianapolis, Indiana. Xxxxxxxx Foundation, Inc., so long as such involvement does not interfere with location for the performance of Executive’s duties and obligations under services pursuant to this AgreementAgreement shall be the offices designated by Employer in the New York City Metropolitan Statistical Area as its principal executive offices. Executive shall be permitted to serve on the board of other charitable or civic organizations so long as such services: (i) are approved in writing in advance by Employer; and (ii) do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Employer hereby approves Executive’s duties and services pursuant participation as a Board Member of the 501(c)(3) not for profit organization, The Brotherhood Sister Sol, subject to this Agreement the restrictions set forth in the preceding sentence. If Executive is elected serve as a member of the Board of Directors, subject to election by MediaCo’s shareholders and any required Board of Directors’ approvals. Such Board of Directors of Emmis Communications Corporation (“ECC”), he service shall serve in such position be without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.1014.9. MediaCo acknowledges Executive has been appointed as a member of the Board of Directors. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer or another member of the MediaCo Group, and shall also be entitled to the benefit of indemnification for such position(s) pursuant to the terms of Section 17.1014.9. Executive will be subject to all applicable employment and other policies of Employer, as outlined in Employer’s employee handbook and elsewhere.
