Engaging in Competition. (a) In the event that the Manager, its partners, employees, associates and Affiliates or any of them now or hereafter carry on activities competitive with those of the Trust or buy, sell or trade in assets and portfolio securities of the Trust or of other investment funds, none of them shall be under any liability to the Trust or to the Unitholders for so acting.
(b) It is agreed and understood that the Manager shall not be required to devote its efforts exclusively to or for the benefit of the Trust and may engage in other business interests and may engage in other activities similar or in addition to those relating to the activities to be performed for the Trust.
Engaging in Competition. In the event that the Manager, its shareholders and associates or any of them now or hereafter carry on activities competitive with those of the Funds or buy, sell or trade in assets and portfolio securities of the Funds or of other investment funds, none of them shall be under any liability to the Funds or the Unitholders for so acting.
Engaging in Competition. DEFINED. For purposes of this Agreement, the term "engaging in competition with Employer" shall mean serving as a director, officer, partner, employee, manager, consultant, agent, independent contractor, advisor, creditor or equity owner (except for ownership of less than five percent (5%) of the stock of a publicly-traded company) or otherwise providing any services for or assistance to any business or organization that, within the State of Tennessee, directly or indirectly engages in competition with the provision of Internet-based medical content and healthcare services engaged in by Employer or any subsidiary, division or affiliate thereof as of the last day of Executive's employment with Employer.
Engaging in Competition. In the event Participant or any Affiliate of Participant during the Restricted Period, directly or indirectly, either for Participant or for any other person or entity directly or indirectly engages in Competition with the Company anywhere in the world in which the Company then transacts business or solicit or attempt to solicit any person or entity who is or has been a customer of the Company at any time during the Restricted Period to purchase Competing Products from any person or entity (other than the Company) or a customer, supplier, licensor, licensee or other business relation of the Company at any time during the Restricted Period to cease doing business with the Company, then the Committee will have the right to (i) terminate this Award (ii) to forfeit any vested Award for which Actual Performance Shares have not been issued.
