Entire Agreement and Assignment. This Agreement and the exhibits and schedules attached to this Agreement (which are incorporated by this reference)and the Management Agreement, including all addenda thereto, contain the entire agreement between the parties hereto with respect to the acquisition of the Assets and the other transactions contemplated herein, and supersedes all prior agreements or understandings between the parties hereto relating to the subject matter hereof. All exhibits attached hereto are incorporated herein by this reference. Buyer may assign its rights and obligations under this Agreement to any legal entity that assumes all, but not less than all, of Buyer's obligations under the Management Agreement.

Member may not assign, transfer, or subcontract this Agreement or the Membership without the express written consent of ConnectWise.

The Company reserves the right to assign all or any portion of its rights and obligations under the Terms of Use.

You acknowledge and agree that we may assign this Agreement or any part of this Agreement at any time and for any reason without your consent.

This Agreement represents the entire agreement and understanding between the Corporation and the Executive concerning the Executive’s separation from the Corporation, and supersedes and replaces any and all prior agreements and understandings concerning the Executive’s relationship with the Corporation and his compensation by the Corporation. This Agreement shall be binding upon, and shall enure to the benefit of, the Parties and their respective heirs, executors, successors and permitted assigns. This Agreement may not be assigned by either Party without the prior written consent of the other Party, except that the Corporation may assign this Agreement to the purchaser of all or substantially all of its assets in the context of a sale of its business without having to obtain the consent of the Executive.
