ENTIRE AGREEMENT CLAUSE. This written Agreement represents the entire understanding of the parties and supersedes all prior understandings, agreements, negotiations and proposals, whether written or oral, formal or informal made between the parties. Any additional writings, implied obligations, terms or conditions, oral or written, electronic or otherwise shall not modify any terms, limitations or exclusions provided in this Agreement. Each Party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Agreement. Each Party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in this Agreement.
