Entire Agreement; Incorporation. This Agreement and the documents and instruments and other agreements among the parties hereto as contemplated by or referred to herein contain every obligation and understanding between the parties relating to the subject matter hereof and merges all prior discussions, negotiations, agreements and understandings, both written and oral, if any, between them, and none of the parties shall be bound by any conditions, definitions, understandings, warranties or representations other than as expressly provided or referred to herein. All schedules, exhibits and other documents and agreements executed and delivered pursuant hereto are incorporated herein as if set forth in their entirety herein.
Entire Agreement; Incorporation. This Amendment is the entire agreement between Seagate and Contractor regarding this subject matter. The terms of this Amendment are incorporated into the Agreement.
Entire Agreement; Incorporation. This Option Agreement contains the entire understanding of the parties hereto with respect to the subject matter hereof and supersedes all prior agreements and understandings between the parties with respect to such subject matter. The recitals are incorporated by reference as if set forth herein.
Entire Agreement; Incorporation. When applicable, this DPA incorporates the Standard Contractual Clauses by reference. Nothing in this document varies or modifies the Standard Contractual Clauses.
Entire Agreement; Incorporation. This Agreement contains the entire understanding among the Parties hereto and with respect to the subject matter hereof, and that it supersedes all prior and contemporaneous agreements and understandings, inducements or conditions, express or implied, oral or written, except as herein contained. Any prior agreements by these parties on the subject of this Agreement shall be considered to be incorporated into and superseded by this Agreement, and the prior agreements shall be null and void.
Entire Agreement; Incorporation. This Agreement is the entire agreement between the parties, and each party acknowledges that no representations have been made or relied upon which are not specifically set forth in this Agreement. This Agreement includes by incorporation any Exhibits referenced in this Agreement. This Agreement supersedes any agreements to the contrary made previously.
Entire Agreement; Incorporation. This instrument contains the entire agreement of the parties hereto with respect to the subject matter hereof. It may not be changed orally but may be changed only by an agreement in writing signed by the party against whom enforcement of any waiver, change, modification, extension or discharge is sought. The "Whereas" clauses at the beginning of this agreement, as well as all exhibits hereto, are hereby incorporated by reference herein and made a part hereof.
Entire Agreement; Incorporation. This Agreement constitutes the entire agreement between and among the Parties with respect to the transaction contemplated herein, and this Agreement supersedes all prior discussions, understandings or agreements between or among the Parties. All Exhibits and Schedules attached hereto are a part of this Agreement and are incorporated herein by reference.
Entire Agreement; Incorporation. This Agreement and the exhibits, lists and other documents referred to herein contain the entire agreement among the parties hereto with respect to the transactions contemplated hereby and supersede all prior agreements with respect thereto, whether written or oral. The preamble to this Agreement, each Schedule and Exhibit hereto is incorporated herein. All information disclosed in the SEC Filings is deemed to have been disclosed in the schedules to this Agreement.
