Entire Agreement; No Oral Modifications. This Agreement sets forth the entire agreement and understanding of the parties hereto and supersedes and replaces any express or implied prior agreement with respect to the matters covered hereby provided that the terms of the Employee Proprietary Information, Inventions, Non-Competition and Non-Solicitation Agreement to which Executive is a party with the Company and, to the extent necessary to give effect to the intent thereof, the terms of the Employment Agreement, shall continue in full force and effect in accordance with their terms. This Agreement may be amended only by a written document signed by the parties hereto.
